Educational Consulting Agreement

This Educational Consulting Agreement (Agreement) is entered into as of Day: Month: Year: (Effective Date), by and between the parties set forth below.

Scope of Services

Consultant will provide educational consulting services as selected below, tailored to the Student identified above. Services are limited to professional guidance and document review; Consultant does not guarantee admission, scholarship awards, test scores, or specific outcomes.

Fees, Payment and Expenses

Client will reimburse Consultant for reasonable, pre-approved expenses incurred in the performance of services, including but not limited to testing fees, shipping, and travel. Reimbursable expenses must be supported by receipts.

Cancellation, Termination and Refunds

Either party may terminate this Agreement by providing written notice to the other party. If Client cancels prior to commencement of services, Consultant will retain the deposit as liquidated damages unless otherwise agreed in writing. If Consultant terminates without cause, Consultant will refund any unearned prepaid fees on a pro rata basis.

Confidentiality and Records

Consultant will treat Student and Client information as confidential and will not disclose such information except as required by law or with Client's written consent. Client authorizes Consultant to review academic records and other materials necessary to provide services. Consultant will maintain records for the period required by law and will return originals to Client upon request.

Intellectual Property and Use of Materials

All consultant-prepared materials remain the intellectual property of Consultant unless otherwise assigned in writing. Client is granted a limited, non-transferable license to use materials for Student's educational planning. Client represents and warrants that any materials provided to Consultant do not infringe third-party rights.

Indemnification; Limitation of Liability

Client agrees to indemnify and hold Consultant harmless from claims arising from Client's or Student's actions or omissions in reliance on Consultant's services. Consultant's total liability under this Agreement shall not exceed the total fees paid by Client to Consultant under this Agreement. Consultant is not liable for indirect, incidental, punitive, or consequential damages.

Representations and Warranties; Disclaimer

Client represents that information provided to Consultant is truthful and complete. Consultant disclaims any warranty of results. Consultant is not a law firm, medical provider, or testing authority and does not provide legal, medical, or psychological advice.

Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the State of without regard to conflict of law principles. The parties agree to attempt good faith negotiation of disputes prior to initiating formal dispute resolution. If necessary, disputes shall be resolved by binding arbitration in the county of the Consultant's principal place of business, unless otherwise agreed.

Notices

All notices required under this Agreement must be in writing and delivered to the addresses set forth above or to email addresses provided below. Notice is effective upon personal delivery, confirmed facsimile transmission, confirmed delivery by overnight courier, or three days after deposit in the U.S. mail, postage prepaid.

Acknowledgements

By signing below, Client acknowledges that they have read and understood the terms of this Agreement, that Consultant makes no promise as to outcomes, and that Client has the authority to enter into this Agreement on behalf of the Student if the Student is a minor.

Miscellaneous

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior discussions, representations, and agreements. Any amendment must be in writing and signed by both parties. If any provision is held invalid, the remaining provisions shall remain in full force and effect.
