EDUCATIONAL COORDINATOR AGREEMENT

RECITALS

WHEREAS, the Institution operates educational programs and requires coordination of curriculum delivery, student support, and program logistics; and WHEREAS, the Coordinator possesses the qualifications and experience necessary to perform the duties described herein and is willing to render such services under the terms and conditions set forth in this Agreement.

BACKGROUND, CLEARANCES, AND MANDATORY REPORTING

The Coordinator certifies that all required background checks, clearances, and certifications necessary to work with students have been completed as of the effective date indicated below and will be maintained throughout the term. The Coordinator acknowledges obligations to report any conduct that may affect student safety.

CONFIDENTIALITY; STUDENT RECORDS

The Coordinator shall treat all student records, personal data, assessment results, and other sensitive information as confidential and shall not disclose such information except as required by law or permitted in writing by the Institution. The Coordinator agrees to comply with all institutional policies governing the privacy and security of student information and to implement reasonable administrative, technical, and physical safeguards.

INDEPENDENT STATUS; TAXES

The parties agree that the Coordinator is engaged to render services as an independent contractor unless otherwise indicated in writing. INSURANCE AND INDEMNIFICATION

The Coordinator shall maintain general liability and professional liability insurance sufficient for the services performed and shall provide proof of insurance upon request. The Coordinator agrees to indemnify, defend, and hold harmless the Institution, its officers, employees, and agents from any claims, damages, or liabilities arising out of the Coordinator’s performance, negligence, or breach of this Agreement, except to the extent caused by the Institution’s gross negligence or willful misconduct.

TERMINATION

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Termination for cause may be immediate where there is material breach, neglect of duties, or conduct affecting student safety. Upon termination, the Institution will pay the Coordinator for services performed through the effective date of termination in accordance with agreed compensation provisions.

RECORDS; OWNERSHIP OF MATERIALS

All reports, curricula, instructional materials, and deliverables created by the Coordinator specifically for the Institution under this Agreement shall be deemed work made for hire and shall be the exclusive property of the Institution unless otherwise agreed in writing. The Coordinator shall maintain accurate records of time, activities, and expenses and shall make such records available to the Institution upon request.

COMPLIANCE WITH LAWS AND POLICIES

The Coordinator shall comply with all applicable laws, regulations, and Institution policies while performing duties under this Agreement, including policies related to nondiscrimination, student safety, and professional conduct. Failure to comply may constitute grounds for immediate termination.

DISPUTE RESOLUTION

The parties shall attempt in good faith to resolve any dispute arising under this Agreement promptly by negotiation between authorized representatives. If negotiation fails, the parties may pursue mediation or other mutually agreed alternative dispute resolution procedures prior to initiating litigation.
