Provider Obligations: The Institution will furnish qualified instructional staff, learning materials, and scheduled instructional hours set forth in this Agreement. The Institution warrants that personnel assigned possess the credentials and experience reasonably required to deliver the Program.

Student / Parent Obligations: The student and, where applicable, Parent/Guardian agree to attend scheduled sessions, complete assigned work, and provide accurate information necessary to evaluate progress. Failure to comply with attendance and participation standards may result in adjustments to the Program or termination pursuant to the Termination clause.

Confidentiality, Intellectual Property and Data

Confidential Information: Each party agrees to maintain in confidence all non-public information disclosed in connection with the Program and to use such information only for purposes of performance under this Agreement. Confidential information does not include information that is or becomes publicly known through no breach by receiving party.

Intellectual Property: Unless otherwise agreed in writing, the Institution retains ownership of curricula and instructional materials provided. Student work produced under the Program may be used by the Institution for internal assessment; use for publication or commercial purposes requires express written consent from Student or Parent/Guardian.

Data Protection: The Institution will handle student personal data in accordance with applicable laws and shall implement reasonable safeguards to protect such data.

Termination, Liability and Indemnification

Termination for Convenience: Either party may terminate this Agreement upon written notice delivered at least days prior to the intended termination date. Termination for Cause: Either party may terminate immediately for material breach that is not cured within a reasonable period.

Liability and Indemnity: Except for willful misconduct or gross negligence, neither party will be liable for incidental or consequential damages. The student/Parent/Guardian agrees to indemnify and hold harmless the Institution against claims arising from Student's breach of obligations under this Agreement.

Enrollment Certification: By executing this Agreement, the signing party certifies that all information provided is true and accurate and that they have the authority to enter into this Agreement on behalf of the Student if signing as Parent/Guardian.

Consent to Participate: I consent to the Student's participation in the Program and agree to the terms set forth in this Agreement.

Use of De-identified Work for Research/Evaluation: I consent to de-identified Student work being used for institutional research or program evaluation.

Amendment, Governing Law and Dispute Resolution

Amendment: This Agreement may be amended only by a written instrument signed by both parties. Governing Law: This Agreement shall be governed by the substantive laws of the state agreed by the parties. Dispute Resolution: Parties agree to negotiate in good faith to resolve disputes and may pursue mediation before resorting to litigation.
