CONFIDENTIALITY AND STUDENT RECORDS

Contractor shall maintain the confidentiality of student education records and personally identifiable information. Contractor shall use such information only for the purposes of performing services under this Contract and shall implement administrative, technical and physical safeguards to protect such information from unauthorized disclosure.

INSURANCE AND INDEMNIFICATION

Contractor shall maintain, at its expense, insurance coverages customary for the services performed, including general liability and professional liability insurance with limits sufficient to protect the District. Contractor agrees to indemnify, defend and hold harmless the District and its employees from any claims, liabilities, losses or expenses arising out of Contractor's performance, except to the extent caused by the District's gross negligence or willful misconduct.

RECORDS, AUDIT, AND RETENTION

Contractor shall maintain full and accurate records related to the performance of this Contract and invoices for a period of at least five years following final payment or longer if required by law. The District shall have the right to inspect and audit Contractor records relating to the Contract during normal business hours upon reasonable notice.

TERMINATION

Either Party may terminate this Contract for convenience upon written notice to the other Party at least days prior to the effective date of termination. The District may immediately terminate this Contract for cause if Contractor fails to comply with material terms, or if Contractor's performance creates an immediate risk to students or staff.
