Whereas Client operates educational programs and desires to engage Provider to present educational entertainment for students; and Whereas Provider represents that Provider has the skill, experience, and capacity to provide the agreed services in a safe and age-appropriate manner; Now, therefore, in consideration of the mutual covenants set forth below, the parties agree as follows.

Supervision, Screening and Safety

Insurance and Indemnification

Provider agrees to indemnify, defend and hold harmless Client, its officers, employees, agents and volunteers from and against any and all claims, liabilities, losses and expenses (including reasonable attorneys' fees) arising out of Provider's performance, except to the extent caused by Client's gross negligence or willful misconduct. Provider shall provide certificate(s) of insurance upon request and, where applicable, name Client as additional insured for the event.

Recording, Publicity, and Intellectual Property

Unless otherwise agreed in writing, Provider retains copyright to original performance content. Client requests permission to record the performance for educational use. Indicate permissions:

Cancellation and Force Majeure

Either party may cancel with written notice. If Client cancels less than 14 days before the event, Client shall be responsible for the deposit and any non-recoverable costs. If Provider cancels, Provider shall refund any deposits and make reasonable efforts to provide a comparable replacement. Neither party shall be liable for failure to perform due to events beyond its reasonable control, including acts of God, governmental action, strikes, shortages, or other force majeure events; the affected party must notify the other promptly and make reasonable efforts to reschedule.

Warranties, Compliance and Conduct

Provider warrants that the content of the performance will be appropriate for the stated audience, will not contain obscene, harassing, defamatory, or otherwise unlawful material, and will comply with all applicable laws, school policies, and safety requirements. Provider agrees to conduct themselves professionally and to follow Client's reasonable directions while on school property.
