Services include on-site exercise management, pre-exercise planning meeting, exercise staffing, timekeeping and staging, direction for cohort movements, incident controller liaison, and an after-action summary. Provider will comply with applicable safety protocols and will coordinate with school emergency staff for phased conduct.

Assumptions

The quoted fee assumes: school will provide internal marshals, staff will be available for planning meeting, staged access to zones will be permitted, and no unplanned emergency response will be required during exercise. Additional requests or scope changes may result in written change orders and additional charges.

Payment by check or approved electronic transfer to Provider. Late payments incur interest at the lesser of 1.5% per month or maximum permitted by law. Additional staffing beyond agreed scope billed at hourly rates.

Cancellation & Rescheduling

Cancellation by School within 14 calendar days of the scheduled exercise will incur a cancellation fee equal to 50% of the total fee. Cancellations within 72 hours will incur 100% charge unless exercise is rescheduled within 30 days at Provider's discretion. Rescheduling requested by School is subject to Provider availability and may incur additional fees.

Insurance, Liability & Indemnity

Provider maintains general liability insurance and will provide proof of coverage upon request. School shall indemnify and hold Provider harmless from claims arising from School's negligence, willful misconduct, or failure to disclose relevant hazards. Provider's liability for any claim arising from performance of services is limited to direct damages not to exceed the total fee paid for the exercise.

Safety & Compliance

Provider will comply with applicable safety standards and will not simulate situations that create undue risk to participants. Simulated alarms and evacuations will be coordinated with local emergency services where required and with school administration. Any real emergency that occurs during the exercise will immediately suspend exercise activities.

Confidentiality

All information exchanged in the planning and execution of the exercise will be treated as confidential and used solely for exercise preparation, execution, and reporting, except where disclosure is required by law.
