Services, Deliverables and Responsibilities

Organizer shall provide the services, materials, instructors, and supervision described in the Event Description. Organizer represents that all instructors possess credentials and experience appropriate to the instructional objectives. Participant shall cooperate with Organizer and will ensure that student conduct meets Organizer requirements.

Fees, Invoicing and Payment Terms

All fees are exclusive of applicable taxes unless otherwise stated. Late payments accrue interest at the lesser of 1.5% per month or the maximum permitted by law. Refunds for cancellation are governed by the Cancellation clause below.

Cancellation, Postponement and Termination

Either party may terminate this Agreement upon written notice if the other party materially breaches any obligation and fails to cure within ten (10) days after receipt of notice. If Participant cancels less than seven (7) days prior to the Event Date, Organizer may retain the deposit in full. If Organizer cancels for reasons within Organizer's control, Organizer will refund all prepaid fees.

Insurance, Liability and Indemnification

Organizer and Participant shall each maintain commercial general liability insurance in amounts customary for similar events. Each party shall indemnify and hold harmless the other party from third-party claims arising from its own negligence or willful misconduct. Neither party shall be liable for indirect, special, or consequential damages.

Organizer may photograph or record the Event for educational and promotional purposes. Check one:

Code of Conduct and Compliance

Participant agrees that students and attendees will comply with Organizer's code of conduct and facility rules. Organizer may remove participants for safety concerns or disruptive behavior without refund.

Intellectual Property and Materials

All instructional materials and curricula provided by Organizer remain Organizer's intellectual property. Participant may not reproduce or distribute materials without prior written permission. Organizer grants a limited, non-exclusive license to use materials for the duration of the Event only.

Governing Law and Dispute Resolution

This Agreement shall be governed by the laws applicable to the jurisdiction in which the Organizer is located. The parties will attempt to resolve disputes through good faith negotiation. If unresolved, disputes may be submitted to mediation or binding arbitration as elected by Organizer.
