EDUCATIONAL FACILITATOR AGREEMENT

This Educational Facilitator Agreement ("Agreement") is entered into as of by and between:

WHEREAS the Organization engages the Facilitator to provide instruction, facilitation, and related educational services in accordance with the Scope of Services below; and WHEREAS the Facilitator represents that they possess the requisite qualifications, credentials, clearances, and ability to perform such services in compliance with applicable law and Organization policy.

Either party may terminate this Agreement for convenience upon days' prior written notice. Termination for cause is permitted immediately upon material breach, failure to maintain required clearances, or for reasons affecting student safety.

Compensation and Expenses

Credentials, Background Checks, and Training

Facilitator represents and warrants that they hold all required credentials, licenses, and clearances necessary to perform services. Facilitator shall provide evidence of the following prior to beginning services:

Confidentiality, Data Protection, and Student Safety

Facilitator shall maintain the confidentiality of student records and personal information in accordance with applicable law and Organization policy. Facilitator shall use student data only for the performance of services and shall not disclose protected information without written authorization. Facilitator acknowledges obligations as a mandated reporter and agrees to report suspected child abuse or neglect immediately to the appropriate authorities and the Organization.

Records, Reporting, and Evaluation

Facilitator shall maintain accurate records of attendance, lesson plans, assessments, and incidents and shall submit reports to the Organization at the intervals specified below.

Insurance, Indemnification, and Liability

Facilitator shall maintain and provide proof of insurance as required by the Organization, including general liability and professional liability coverages. Facilitator agrees to indemnify and hold harmless the Organization, its employees, and agents from any claims, liabilities, or losses arising out of Facilitator's negligent acts or omissions, except to the extent caused by the Organization's gross negligence or willful misconduct.

Independent Contractor; Assignment; Governing Law

Facilitator is an independent contractor and not an employee of the Organization. Facilitator shall be responsible for all taxes and withholding. This Agreement is binding upon the parties and their permitted assigns. This Agreement shall be governed by the laws of the state in which the Organization is located and any disputes shall be resolved in that state's courts.

Acknowledgements and Certifications

By signing below, the Facilitator certifies under penalty of perjury that the information provided is true and correct, that they have disclosed any criminal convictions or pending charges that would disqualify them from working with students, and that they will comply with Organization policies and applicable law.

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or such other address as a party designates in writing.
