Insurance, Indemnity and Liability

Requester shall maintain and provide, prior to occupancy, a Certificate of Insurance evidencing commercial general liability coverage with limits not less than per occurrence and naming the Institution as additional insured where required.

The Requester agrees to defend, indemnify and hold harmless the Institution, its trustees, officers, employees and volunteers from and against all claims, damages, losses and expenses (including reasonable attorneys' fees) arising out of or resulting from the Requester's use of the facilities, except to the extent caused by the Institution's sole negligence or willful misconduct.

Operations, Safety and Compliance

Supervision: Requester shall ensure adequate adult supervision at all times. For events involving minors, background checks and compliance with applicable chaperone and supervision policies are required and must be documented to the Institution prior to occupancy.

Security and Law Enforcement: The Institution may require security personnel at the Requester's expense. Requester shall reimburse Institution for any reasonable security or overtime costs incurred as a result of the event.

Damage, Cleaning, Cancellation and Termination

Damage and Cleaning: Requester is responsible for leaving facilities in the condition received. Institution may charge cleaning and repair costs, deducted from the security deposit if unpaid by Requester within thirty (30) days of invoice.

Cancellation: Requester must provide written notice to the Institution as soon as possible. Cancellation fees may apply as set forth in the payment instructions section. Institution reserves the right to cancel or relocate the event for bona fide operational, safety, or emergency reasons with reasonable notice and, where practicable, a refund of prepaid fees.

Termination for Cause: Either party may terminate this Agreement for material breach if the breaching party fails to cure within a reasonable period following written notice.

Force Majeure; Governing Law; Assignment

Force Majeure: Neither party shall be liable for delays or failure to perform due to causes beyond its reasonable control, including acts of God, fire, flood, strikes, epidemics, or governmental orders. The parties shall use reasonable efforts to reschedule affected dates.

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state in which the Institution is located, without regard to conflict-of-law principles.

Assignment: Requester shall not assign or subcontract its obligations under this Agreement without the prior written consent of the Institution.
