Recitals

WHEREAS, the Institution operates educational programs and desires to collaborate with the Foundation to implement the programs and manage funds in accordance with the terms of this MOU;

Purpose and Scope

The purpose of this MOU is to set forth the mutual understandings and commitments of the Parties with respect to the Foundation's financial support and the Institution's administration of the supported activities, including but not limited to program delivery, scholarship awards, evaluation, reporting, and stewardship of funds.

Term

This MOU shall commence on and shall continue until unless earlier terminated in accordance with the Termination provisions below.

Roles and Responsibilities

Funding and Financial Management

The Foundation agrees to provide funding in the total amount of to support the activities described in this MOU. Funds shall be disbursed in accordance with the payment schedule below and subject to the conditions set forth in this document.

The Institution shall maintain separate accounting records for Foundation funds, provide receipts and invoices upon request, and permit reasonable inspection and audit of records relating to expenditures of funds provided under this MOU.

Reporting and Evaluation

The Institution will provide written reports to the Foundation that document program activities, expenditures, and outcomes. Reports shall be provided and shall include the metrics and formats agreed by the Parties.

Intellectual Property, Publicity, and Use of Marks

Ownership of intellectual property created jointly under this MOU shall be determined by contributions and applicable law. The Institution and Foundation shall obtain prior written approval before using each other’s name, logo, or marks in publicity or fundraising materials.

Confidentiality

Each Party agrees that proprietary information disclosed in connection with this MOU will be held in confidence and used only for the purposes of performing obligations under this MOU, except as required by law. Confidential information does not include information that is or becomes publicly available other than by breach of this section.

Compliance, Insurance, and Indemnification

Each Party shall comply with all applicable laws, regulations, and institutional policies in performing its obligations. The Institution shall maintain adequate insurance coverage for the activities contemplated by this MOU and shall indemnify and hold harmless the Foundation from liabilities arising from the Institution’s negligent acts or omissions in carrying out the funded activities, except to the extent caused by Foundation negligence.

Termination and Amendment

Either Party may terminate this MOU for convenience upon written notice given days prior to the effective termination date. Termination shall not relieve the Institution of any obligations to return unexpended funds or to provide final accounting for expenditures incurred prior to termination.

This MOU may be amended only by written agreement signed by authorized representatives of both Parties.

Notices required under this MOU shall be in writing and sent to the addresses set forth below, or to such other address as a Party may designate in writing.
