RECITALS

The Institution operates educational programs and desires to engage the Leader to provide educational leadership, administration, and related services. EVALUATION AND PERFORMANCE

The Leader's performance shall be evaluated in accordance with the Institution's evaluation procedures. The evaluation will consider leadership, student outcomes, staff supervision, fiscal management, and compliance with applicable standards. The parties agree evaluation will occur at least .

CERTIFICATIONS, BACKGROUND CHECKS, AND LICENSES

The Leader shall maintain all professional certifications and licenses required to perform the duties of Educational Leader. Employment is conditioned upon satisfactory completion of background checks and fingerprinting as required by applicable law and Institution policy.

CONFIDENTIALITY, DATA PROTECTION, AND RECORDS

TERMINATION AND RESIGNATION

This Agreement may be terminated by either party for cause as defined by Institution policy, or without cause upon written notice as provided below. Upon resignation, the Leader shall provide written notice to the Institution specifying the effective resignation date.

CONFLICT OF INTEREST; ETHICS

The Leader shall disclose any actual or potential conflicts of interest and shall comply with the Institution's conflict of interest and ethics policies. Failure to disclose conflicts may constitute cause for discipline or termination.

INSURANCE AND INDEMNIFICATION

The Institution shall maintain customary liability insurance covering the Leader for acts performed within the scope of employment. The Leader shall cooperate with the Institution in defense of claims and shall be indemnified to the extent permitted by law and Institution policy.

DISPUTE RESOLUTION; GOVERNING LAW

This Agreement shall be governed by the laws of the jurisdiction in which the Institution is located. The parties agree that disputes arising under this Agreement will be resolved in accordance with the Institution's dispute resolution procedures, which may include administrative review and binding or non-binding mediation or arbitration as designated below.

Arbitration Agreement: The parties agree to submit disputes to arbitration in lieu of court proceedings.

MISCELLANEOUS

Entire Agreement: This Agreement constitutes the entire agreement between the parties regarding the subject matter and supersedes prior agreements and understandings.
