Payment Terms: Organization will compensate the Local Coordinator as set forth below. The Coordinator shall submit itemized invoices and receipts in accordance with Organization policy.

The Coordinator is responsible for maintaining receipts and for submitting them with a written justification. Organization reserves the right to decline reimbursement for expenses that are not documented or that are not reasonable and necessary to the program.

Coordinator acknowledges that satisfactory completion of background checks, mandatory training, and compliance with child protection and safety policies are conditions precedent to assignment and continued performance under this Agreement.

Insurance, Indemnity and Liability

Coordinator shall maintain appropriate liability and, where applicable, professional insurance coverage during the Term. Coordinator agrees to indemnify, defend and hold harmless Organization from claims arising out of Coordinator's negligent acts, omissions, or willful misconduct in performance of duties under this Agreement, except to the extent caused by Organization's gross negligence or willful misconduct.

Records, Privacy, and Data Access

Coordinator may have access to student and participant records solely as needed to perform duties. Coordinator shall comply with privacy, data protection and record retention policies and shall not disclose personal data to third parties except as permitted by Organization or required by law.

Term, Termination and Remedies

Term: This Agreement commences on the Agreement Date and continues through the Program End Date unless earlier terminated in accordance with this section.

Termination for Convenience: Either party may terminate this Agreement upon written notice to the other party of not less than days.

Immediate Termination: Organization may terminate immediately for material breach, failure to comply with child protection obligations, falsification of records, or conduct that endangers participants.

Confidentiality, Intellectual Property and Publicity

Coordinator agrees that records, proprietary materials, and non-public information obtained during performance are confidential. Materials produced specifically for Organization pursuant to this Agreement are works for hire and shall be the exclusive property of Organization unless otherwise agreed in writing.

Governing Law, Notices and Entire Agreement

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Organization is primarily located. Notices required under this Agreement shall be in writing and delivered to the addresses listed above.

Entire Agreement: This Agreement, together with any referenced attachments, constitutes the entire agreement between the parties relating to the subject matter herein and supersedes all prior agreements and understandings.
