Recitals and Purpose

Responsibilities of the Partner Organization

The Partner Organization will: (a) supply qualified instructors or clinicians as scheduled; (b) ensure all personnel interacting with students comply with background check and certification requirements; (c) provide specified instruments, materials, or technical support as identified in this MOU; and (d) coordinate performance logistics in cooperation with School administration.

Background Checks, Certifications and Clearance

All Partner personnel who will have direct contact with students must undergo criminal background checks and hold current mandated child-protection clearances as required by applicable law and School policy. The School reserves the right to deny access to any individual who does not meet these requirements.

Facilities, Equipment, and Transportation

Facilities access and equipment use will be provided as follows. The party providing transportation will comply with all vehicle and driver requirements and maintain necessary insurance and safety protocols.

Insurance, Liability and Indemnification

Each party shall maintain at its expense commercial general liability insurance with limits reasonably acceptable to the other party and shall name the other party as an additional insured with respect to the activities described herein when requested. Each party agrees to indemnify, defend, and hold harmless the other party from and against claims arising from its negligent acts or omissions in connection with this MOU, subject to applicable statutory immunities and limitations on liability.

Financial Terms

Unless otherwise specified below, each party will bear its own costs associated with performance under this MOU. Any fees, stipends, or reimbursements payable to the Partner Organization shall be set forth in writing and approved by authorized representatives of both parties prior to disbursement.
