Each party agrees to indemnify and hold harmless the other party from claims arising from the indemnifying party’s breach of this Agreement or negligent acts of its personnel.

This Agreement may be terminated by either party upon written notice if the other party materially breaches any provision and fails to cure within days of receipt of notice. Either party may suspend program activities immediately if continuation would endanger student welfare.
