EDUCATIONAL REFERRAL SERVICES AGREEMENT

This Educational Referral Services Agreement (Agreement) is entered into as of (Effective Date), by and between:

For purposes of this Agreement: "Referral" means a documented introduction of one or more prospective students (Referred Student) by Referrer to Service Provider in accordance with the procedures set forth in this Agreement. "Confidential Information" means information disclosed in writing or otherwise that is identified as confidential or that a reasonable person would understand to be confidential.

Scope of Services

Referrer will identify and submit prospective student referrals to Service Provider as set forth herein. Service Provider will evaluate referrals, make final admissions decisions, and, if accepted, enroll referred students pursuant to Service Provider's standard enrollment terms. Specific services to be provided by Referrer include:

Fees and Payment

Referrer shall be entitled to a Referral Fee as follows (select applicable and specify amount). Referral Fees are earned only upon successful enrollment and commencement of services by the referred student in Service Provider's program, unless otherwise agreed in writing.

Confidentiality & Student Data

Each party shall maintain the confidentiality of Confidential Information received from the other party and shall use such information only to perform its obligations under this Agreement. Referrer and Service Provider shall implement reasonable administrative, technical, and physical safeguards to protect student data and comply with applicable privacy and educational records laws. Disclosure to third parties is permitted only with prior written consent or as required by law, and the disclosing party shall provide notice when feasible.

Representations, Warranties & Compliance

Each party represents and warrants that it has the power and authority to enter into this Agreement and that it will comply with all applicable laws, rules, and regulations in performing its obligations. Referrer represents that referrals are made honestly and without fraudulent or misleading information. Service Provider represents that it will make final determinations regarding admission and enrollment in accordance with its policies.

Indemnification & Limitation of Liability

Each party shall indemnify and hold harmless the other party from and against any losses, liabilities, claims, damages, and expenses arising out of its breach of this Agreement, willful misconduct, or negligence. Neither party shall be liable for consequential, incidental, or punitive damages except for damages arising from a breach of confidentiality or willful misconduct. Total liability shall be limited to direct damages not exceeding the fees paid or payable under this Agreement during the preceding twelve (12) months.

Term, Termination & Survival

This Agreement shall commence on the Effective Date and continue for a term of unless earlier terminated as provided herein. Either party may terminate for convenience upon days' written notice. Termination for cause may occur upon material breach if such breach is not cured within days of written notice. Provisions regarding confidentiality, indemnification, payment of earned fees, and limitation of liability shall survive termination.

Notices under this Agreement shall be in writing and delivered to the contacts provided below.

Miscellaneous

Governing law: the laws of shall govern this Agreement without regard to conflict of laws principles. This Agreement constitutes the entire agreement between the parties with respect to referrals and supersedes prior agreements. Any amendment must be in writing and signed by authorized representatives of both parties. Neither party may assign this Agreement without the prior written consent of the other, except to an affiliate or successor in interest.
