7. Liability and Indemnification: Each party shall indemnify and hold harmless the other for claims arising from its own negligence or willful misconduct. Institution's liability for direct damages arising from this Proposal shall be limited to the amount of tuition actually paid for the Term; Institution shall not be liable for incidental or consequential damages.

8. Amendment and Severability: This Proposal may be amended only by written agreement signed by both parties. If any provision is held invalid, the remainder shall remain in effect.

9. Governing Law: This Proposal shall be governed by the laws of the jurisdiction in which the Institution operates, without regard to conflict of law principles.
