EDUCATIONAL SERVICES AGREEMENT

This Educational Services Agreement (the "Agreement") is effective as of Effective Date: between Provider Name: with principal address at ("Provider"), and Client Name: residing at ("Client").

Provider will deliver the educational services described below in accordance with the terms of this Agreement.

Fees, Payment & Refunds

Client agrees to pay Provider the fees described below in consideration for the Services. All fees are due in accordance with the payment schedule unless otherwise agreed in writing.

Refunds and cancellations are governed by Provider's cancellation policy set forth below. Any late payments may incur interest or suspension of services until paid.

Responsibilities & Materials

Attendance, Conduct & Academic Policies

Client acknowledges and agrees that attendance, participation, and adherence to Provider's conduct standards are required. Provider may suspend or terminate services for repeated absences, harassment, or behavior that undermines the safety or learning environment.

I acknowledge receipt of and agree to comply with Provider's attendance, conduct, and academic policies.

Confidentiality & Records

Provider will maintain records generated in the course of providing Services in accordance with applicable privacy standards. Provider will not disclose Student records except as required by law or with written consent from Client or authorized guardian.

Client consents to use and limited disclosure of educational records for purposes directly related to the delivery of Services (e.g., progress reports, emergency health disclosures).

Intellectual Property & Work Product

Unless otherwise agreed in writing, Provider retains intellectual property rights in curricula, instructional materials, and pedagogical methods provided as part of Services. Student works created during instruction may be used by Provider for educational or promotional purposes only with prior written consent of the Student or guardian where required.

Termination; Cancellation; Withdrawal

Either party may terminate this Agreement on written notice if the other party materially breaches any provision and fails to cure within the notice period set forth below. Provider may terminate immediately for health, safety, or conduct reasons. Upon termination, Client remains responsible for fees for services rendered through the effective date of termination and any non-refundable deposits.

Liability, Insurance & Indemnification

Provider will carry appropriate insurance for the delivery of Services. Client agrees that Provider and its employees are not liable for indirect, incidental, or consequential damages arising from Services, except to the extent caused by Provider's gross negligence or willful misconduct. Client shall indemnify and hold Provider harmless from claims arising from Client's breach of this Agreement or Client-provided information or materials.

Dispute Resolution; Governing Law

The parties agree to attempt good faith negotiation to resolve disputes. If unresolved, disputes may be submitted to mediation or binding arbitration as selected by Provider. This Agreement shall be governed by the laws of the jurisdiction specified below, without regard to conflict of law principles.

Express Authorizations & Certifications

By signing below, Client (or Parent/Guardian if Student is a minor) certifies that the information provided is accurate, that Client has the authority to enter into this Agreement, and that Client consents to Provider's performance of Services and the policies described herein.

In the event of medical emergency, I authorize Provider to secure appropriate medical treatment for the Student and agree to be responsible for related costs.

I grant Provider permission to use photographs or recordings of the Student for educational or promotional materials only where permitted under applicable privacy protections.
