Termination: Either party may terminate this Proposal for material breach upon thirty (30) days' written notice if the breaching party fails to cure. Upon termination, Institution shall provide an accounting of funds expended and return unexpended funds as appropriate.

Tax and Legal Status: Neither party warrants any specific tax treatment. The Sponsor and Institution are responsible for their own tax reporting and compliance relating to sponsorship funds. The Sponsor is not responsible for the beneficiary’s tax obligations.

Indemnification: Each party shall indemnify and hold harmless the other party from any claims, liabilities, or expenses arising out of its breach of this Proposal, negligence, or willful misconduct.
