Indemnity: Vendor agrees to indemnify, defend, and hold harmless Client, its officers, employees, and agents from all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of Vendor's performance under this Agreement, except to the extent caused by Client's gross negligence or willful misconduct.
