Recitals

Provider engages Facilitator to present an educational webinar for Provider's students, staff, or registered participants. Facilitator accepts engagement under the terms set forth in this Agreement.

Invoice Submission Instruction: Facilitator shall submit invoice to Provider within days of delivery. Provider will remit payment to Facilitator by the Payment Terms specified above.

Recordings, Intellectual Property and License

Ownership of original materials created by Facilitator: Facilitator retains copyright unless otherwise assigned in writing. Provider receives a non-exclusive, worldwide, royalty-free license to use recordings and provided materials for educational purposes within Provider for a period of .

Confidentiality and Student Privacy

Facilitator will maintain the confidentiality of any personally identifiable student information and agrees to comply with applicable student privacy laws and Provider policies. Facilitator will not use or disclose student data for commercial purposes.

If minors_participating is selected, Facilitator certifies that required parental permissions, background checks, and safeguarding measures will be in place prior to the event.

Representations, Warranties and Compliance

Facilitator represents and warrants that: (a) Facilitator has the qualifications and experience to present the webinar; (b) the presentation and materials will not infringe third-party intellectual property rights; (c) Facilitator will comply with Provider policies and applicable laws; and (d) Facilitator has obtained all necessary third-party permissions to use included materials.

Independent Contractor; Insurance; Indemnity

Facilitator is an independent contractor. Nothing in this Agreement creates an employment relationship. Facilitator shall be solely responsible for taxes and benefits. Facilitator shall maintain appropriate insurance coverage and, to the fullest extent permitted by law, indemnify and hold harmless Provider from any claims arising from Facilitator's acts or omissions in performance of the services.

Cancellation and Termination

Either party may terminate this Agreement for material breach if the breach remains uncured for days after written notice. Provider may cancel the webinar with days' notice; cancellation fees, if any, are as follows: .

Publicity

Neither party may use the other's name, logo, or trademarks for marketing or publicity without prior written consent. Provider may list Facilitator's name, biosketch and webinar title in event materials unless Facilitator indicates otherwise in writing.

Limitation of Liability and Remedies

Except for each party's indemnification obligations and breaches of confidentiality, neither party shall be liable to the other for consequential, incidental, special or punitive damages arising from this Agreement. Provider's total liability for any claim arising under this Agreement shall not exceed the total fees paid to Facilitator under this Agreement.

Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the state specified by Provider at the time of execution. The parties shall first attempt to resolve disputes through good faith negotiation. If unresolved, disputes will be resolved through binding arbitration in the jurisdiction specified by Provider.

Miscellaneous

Entire Agreement: This Agreement constitutes the entire agreement between the parties regarding the webinar and supersedes prior agreements. Amendments must be in writing and signed by both parties. Force Majeure: Neither party is liable for delays due to causes beyond its reasonable control.
