DUTIES AND RESPONSIBILITIES

CONFIDENTIALITY AND STUDENT DATA

The Educator shall protect the confidentiality of student records and all Institution confidential information. The Educator will access, use, and disclose student records only in the performance of duties authorized by the Institution and in compliance with applicable law and Institution policy.

INTELLECTUAL PROPERTY; WORK PRODUCT

Materials, curricula, assessments, or other work produced by the Educator in the scope of employment or engagement are the property of the Institution. Where the Institution claims ownership, the Educator assigns all right, title, and interest in such work product to the Institution. Where joint ownership or licensing is applicable, the parties shall execute a separate written agreement.

EVALUATION, PROFESSIONAL DEVELOPMENT, AND PERFORMANCE

The Educator will participate in Institution evaluation processes and engage in professional development as required. Performance deficiencies will be addressed through Institution policies, and remediation plans may be required.

TERMINATION

This Agreement may be terminated by either party with written notice. Termination without cause requires days' prior written notice. The Institution may terminate immediately for cause, including but not limited to breach of policy, professional misconduct, or failure to maintain required certifications.

INDEMNIFICATION AND INSURANCE

Each party shall indemnify and hold harmless the other from claims arising from the indemnifying party's negligent acts or willful misconduct. The Educator shall maintain professional liability insurance where required by the Institution or applicable law and provide proof of coverage upon request.

POLICIES, AMENDMENT, AND NOTICES

This Agreement is subject to applicable Institution policies. Any amendment to this Agreement must be in writing and signed by authorized representatives of both parties. Notices under this Agreement shall be in writing and delivered to the party addresses identified above.
