eLearning License Agreement

This eLearning License Agreement (the Agreement) is entered into by and between Licensor: , a provider of digital educational content, and Licensee: .

Recitals and Definitions

WHEREAS, Licensor develops, licenses and maintains proprietary eLearning content, platform access, course materials, and associated services (the Materials); and WHEREAS, Licensee desires a limited license to access and use the Materials subject to the terms and conditions of this Agreement.

For purposes of this Agreement, "Authorized User" means the named student or approved designee; "Platform" means the Licensor's delivery system for the Materials.

Grant of License

Subject to Licensee's compliance with this Agreement and payment of any fees set forth below, Licensor grants Licensee a limited, non-exclusive, non-transferable, revocable license to access and use the Materials solely for educational purposes during the Term. Licensee shall not sublicense, assign, transfer, distribute, or make the Materials available to third parties except as expressly permitted in writing by Licensor.

License Restrictions

Licensee shall not: (a) copy, modify, create derivative works of, or publicly display the Materials other than as expressly permitted; (b) remove or alter proprietary notices; (c) circumvent technological protection measures; or (d) use the Materials for commercial purposes outside the scope of this Agreement.

Term and Termination

The Term commences on Start Date: and continues until End Date: , unless earlier terminated in accordance with this Agreement. Licensor may suspend or terminate access immediately for material breach, infringement, illegal activity, or nonpayment.

Fees, Payment and Refunds

Unless otherwise agreed in writing, fees are non-refundable. Late payments may result in suspension of access until cured and may incur interest at the lesser of 1.5% per month or the maximum permitted by law.

Intellectual Property

All right, title and interest in and to the Materials, including copyrights and other intellectual property rights, remain with Licensor or its licensors. Licensee acquires no ownership rights under this Agreement.

Confidentiality and Data Protection

Licensee and Licensor each agree to maintain the confidentiality of proprietary information received in connection with this Agreement. Licensor's collection, storage, and processing of personal data submitted by Licensee or Authorized Users shall be governed by Licensor's privacy and data-handling policies and applicable law. Licensee consents to such processing to the extent necessary to provide the Platform and Materials.

Warranties; Disclaimer

Licensor warrants that it has the right to grant the license granted herein. EXCEPT AS EXPRESSLY PROVIDED, THE MATERIALS ARE PROVIDED "AS IS" AND LICENSOR DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE AMOUNTS PAID BY LICENSEE UNDER THIS AGREEMENT IN THE SIX (6) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL LICENSOR BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES.

Indemnification

Licensee shall defend, indemnify and hold harmless Licensor from any third-party claims arising from Licensee's breach of this Agreement, misuse of the Materials, or violation of applicable law, except to the extent such claims result from Licensor's gross negligence or willful misconduct.

Licensee is responsible for maintaining compatible hardware, software, and internet connectivity required to access the Platform. Licensor will provide support as described in the Support Terms:

Licensee shall ensure Authorized Users comply with acceptable use rules and shall be responsible for all activity under Licensee's account credentials. Prohibited conduct includes unauthorized access attempts, sharing credentials, and uploading malicious code.
