"Inventions" means any discovery, improvement, design, know-how, trade secret, algorithm, database, software, or other intellectual property conceived, developed or reduced to practice by the Employee, either alone or with others, during the period of employment.

Confidentiality Obligation: The Employee shall hold all Confidential Information in strict confidence and shall not use or disclose such information except as necessary to perform duties for the Employer or as authorized in writing. The Employee shall take reasonable measures to protect Confidential Information and shall not remove Confidential Information from company premises without prior authorization.

Survival; Governing Law

Provisions concerning Confidential Information, Assignment of Inventions, return of property, remedies, and indemnity shall survive termination of this Agreement. I acknowledge that I have read, understand, and agree to comply with the terms of this Agreement.

Miscellaneous

Entire Agreement; Amendment: This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior agreements and understandings. What the Employee Agreement PI Covers

The Employee Agreement PI is a written agreement between an employer and an employee that documents duties, confidentiality obligations, and how personally identifiable information (PI) or business-sensitive data must be handled. It typically defines covered data, permitted uses, retention and destruction rules, reporting obligations for incidents, and the effective term of the agreement, creating a clear record of both parties' responsibilities regarding privacy and proprietary information.

Why a Clear Employee Agreement PI Matters

A well-drafted Employee Agreement PI reduces legal ambiguity, protects sensitive data, and supports regulatory compliance for privacy laws and sector-specific rules such as HIPAA or financial regulations.

Why a Clear Employee Agreement PI Matters

Who Typically Prepares and Signs This Agreement

Employers, HR teams, hiring managers, and in-house counsel most often prepare the Employee Agreement PI when hiring, promoting, or when role changes affect data access.

  • HR and Talent Teams responsible for onboarding and recordkeeping for employees and contractors.
  • Hiring Managers who assign data-handling responsibilities and define role-based access.
  • Legal or Compliance Officers who ensure contractual language meets privacy and industry rules.

External counsel or privacy specialists may be involved for specialty roles or high-risk data environments; signatures are normally required from the employee and an authorized employer representative.

Step-by-Step: Complete and Execute the Agreement

Follow these steps in order to prepare, review, and finalize the Employee Agreement PI.

  • 01
Prepare: Populate party names, role, and scope fields accurately.
  • 02
Review: Have HR and legal confirm obligations and any industry addenda.
  • 03
Sign: Collect signatures and dates from employee and authorized representative.
  • 04
Distribute: Provide executed copies to the employee and retain employer records.

Core Components to Include in Every Employee Agreement PI

Make sure the agreement explicitly sets out the covered data, employee duties, permitted uses, safeguards, duration, and remedies for breach to avoid later disputes.

Definition of PI

Define personally identifiable information and any industry-specific data types (e.g., PHI for healthcare) so obligations are clear and enforceable.

Confidentiality Obligations

Describe required protections, permitted disclosures, encryption or storage requirements, and reporting obligations for suspected breaches or incidents.

Permitted Use

State the limited business purposes for which the employee may access PI and any role-based access restrictions or approvals required.

Term and Survival

Specify the agreement term and which obligations (e.g., confidentiality, non-disclosure) survive termination and for how long.

Data Handling Procedures

Include secure transfer, storage, remote access, and approved personal device policies; reference any encryption or wiping requirements.

Remedies and Discipline

List disciplinary measures, indemnities, and potential termination or legal remedies for violations, consistent with company policy and state law.

Security and Compliance Settings to Note

Encryption: TLS 1.2/1.3 in transit; AES-256 at rest
Certifications: SOC 2 Type II; ISO 27001
HIPAA Support: BAA available where required
Audit Trail: Comprehensive timestamps and action logs
Access Controls: Role-based permissions and SSO
Authentication: Options: email link, SMS, KBA, or advanced 2FA

Risks and Consequences of Incomplete or Incorrect Agreements

Breach Liability: Potential civil damages for unauthorized data exposure
Regulatory Fines: State and federal penalties, including HIPAA fines
Employment Sanctions: Disciplinary action up to termination
Contract Voidance: Ambiguous terms may be unenforceable
Tax/Payroll Issues: Incorrect employer identity can create reporting problems
Reputational Harm: Loss of trust with customers and partners

Common Preparation Errors to Avoid

  • Leaving the scope of PI undefined or using overly broad language that invites dispute over what is protected.
  • Using inconsistent party names or abbreviated entity names that complicate enforcement and tax reporting.
  • Failing to state the effective date or using ambiguous date formats that create uncertainty about obligations.
  • Collecting signatures without recording the signing method or audit trail, weakening evidentiary value for e-signed copies.

How Electronic Execution and eSubmission Usually Works

Electronic completion follows a standard upload, field placement, signer authentication, and audit capture workflow.

  • Upload Document: Add the final agreement file (PDF or DOCX) to the eSignature platform.
  • Place Fields: Add signature, date, and initial fields at required locations.
  • Send to Signer: Email or share a secure signing link to the employee.
  • Capture Audit Trail: System logs timestamps, IPs, and authentication events for the record.

Recommended eSignature Workflow Settings

Configure your workflow to match internal approval paths and compliance needs before sending the agreement to signers.

Field Configuration
Authentication Email link default; use SMS or KBA for higher assurance
Field Types Signature, date, initials, checkbox, and conditional fields
Routing Order Sequential routing: employee then employer rep
Reminders Auto-reminders after 3 and 7 days

Technical Requirements and Integration Notes

Use a platform that accepts PDF and DOCX, preserves audit trails, and supports your chosen signer authentication method.

  • File Formats: PDF, DOCX, and stored signed PDF/A copies
  • Integrations: Works with Salesforce, NetSuite, Microsoft 365, Google Workspace
  • Authentication Options: Email link, SMS, KBA, SSO, and advanced 2FA

Ensure the platform can export complete audit reports and long-term signed PDFs; verify HIPAA or industry addenda support if required by your use case.

Timelines and Key Deadlines for the Agreement

Set clear internal deadlines for execution and review to ensure compliance and timely onboarding.

Signing Deadline:

Employee should sign before start date or within specified onboarding window.

Effective Date:

Review Cycle:
