Standards of Conduct and Contract Terms

Purpose: This Employee Behavior Contract documents the mutual expectations for professional conduct, workplace behavior, and disciplinary process. This Contract is intended to supplement existing company policies and does not replace statutory employee rights.

Expected Conduct

The Employee shall: perform duties with diligence and integrity; comply with all lawful directives of the Employer; maintain professional and respectful interactions with colleagues, clients, and vendors; protect confidential information; and adhere to safety and security protocols. Reasonable accommodations pursuant to applicable law will be considered upon request.

Prohibited Conduct

Prohibited conduct includes but is not limited to: harassment or discrimination; workplace violence; theft or misuse of company property; unauthorized disclosure of confidential information; insubordination; falsification of records; use of illegal drugs or being under the influence of controlled substances while on duty; and conduct that materially harms the Employer's business or reputation.

Reporting, Investigation, and Non-Retaliation

The Employee agrees to promptly report observed violations to the reporting manager or HR. The Employer will investigate alleged violations impartially and confidentially to the extent practicable. The Employer prohibits retaliation against any person who reports in good faith or participates in an investigation; any such retaliation is itself a violation of company policy and this Contract.

Disciplinary Procedures

Violations of this Contract may lead to corrective action, including verbal or written warnings, suspension, demotion, restitution, or termination. Discipline will be proportional to the severity of the conduct and prior record. The Employer reserves discretion to bypass progressive steps for serious misconduct.

Preferred corrective steps (not exhaustive):
Written Warning
Suspension
Termination
Other (specify below)

Corrective Action Plan

If performance or conduct requires remediation, a corrective action plan will be provided that sets measurable objectives, required actions, resources provided, and a timeline for review. The Employee agrees to participate in the plan in good faith.

Confidentiality and Use of Company Information

Employee shall not disclose proprietary or confidential company information except as required for the performance of duties. Unauthorized retention or distribution of confidential materials may result in disciplinary action and potential civil liability.

At-Will Employment and Equal Opportunity

Nothing in this Contract modifies any at-will employment relationship; employment may be terminated by either party at any time, with or without cause or notice, unless a separate written agreement provides otherwise. The Employer is an equal opportunity employer and prohibits discrimination on legally protected bases.

Background Check and References Authorization

By signing below, the Employee authorizes the Employer to contact prior employers and references and to obtain background checks and consumer reports where lawful and relevant to the employment relationship. Such checks may include employment verification, education verification, and criminal history, subject to applicable consent requirements.

I authorize the Employer to conduct employment and background checks as described above.

What an Employee Behavior Contract Is and When It Applies

An Employee Behavior Contract is a written agreement that documents workplace expectations, acceptable conduct, and disciplinary measures specific to an employee or role. It typically clarifies duties, confidentiality, conflict-of-interest rules, reporting procedures, and consequences for violations. Employers use it to set consistent standards, reduce ambiguity, and create an evidentiary record for progressive discipline or termination decisions. In the United States such contracts may be executed electronically where ESIGN (15 U.S.C. §7001) or UETA applies, subject to narrow statutory exceptions for certain documents.

Why a Clear Behavior Contract Helps Employers and Employees

A precise Employee Behavior Contract reduces disputes by documenting expectations and remedies, supports consistent enforcement, and gives employees clear notice of workplace rules. It also helps HR manage investigations and defend employment decisions.

Why a Clear Behavior Contract Helps Employers and Employees

Who Typically Creates and Signs This Contract

Keep copies with personnel files and ensure signatory authority is documented for enforceability and audit purposes.

  • HR departments and managers use the contract to formalize expectations and disciplinary steps for new hires and existing staff.
  • Individual employees sign to acknowledge receipt, understanding, and acceptance of workplace rules and corrective action procedures.
  • Legal or compliance teams review contracts where regulatory obligations, confidentiality, or union rules affect enforceability.

Essential Sections to Include in an Employee Behavior Contract

A well-drafted contract groups obligations, procedures, and consequences into clear sections so both parties understand rights and obligations.

Parties

Identify employer and employee by full legal names and employment relationship; include position/title and employer legal entity to avoid ambiguity in enforcement.

Effective Date

State the effective date and whether the contract supplements or replaces prior policies; this date governs timing of obligations and statute of limitations.

Behavioral Expectations

List specific prohibited and required conduct (attendance, harassment, confidentiality, technology use), using concrete examples to reduce interpretive disputes.

Reporting & Investigation

Describe how alleged violations are reported, investigative steps, confidentiality protections, and expected timelines for resolution.

Discipline and Remedies

Define progressive discipline steps, immediate-removal conduct, and possible remedies including suspension, termination, or retraining.

Acknowledgment

Include a signature block where the employee acknowledges receipt, understanding, consent to electronic delivery/signature if used, and any arbitration or appeal options.

How to Complete an Employee Behavior Contract — Step by Step

Follow these sequential steps to draft, review, and finalize a binding behavior contract for an employee.

  • 01
Draft Terms: Define expectations, reporting, and discipline in plain language tailored to the role.
  • 02
Review Legality: Have HR or legal counsel confirm clauses comply with applicable federal and state employment laws.
  • 03
Obtain Signatures: Collect signatures from the employee and authorized employer representative, using secure electronic signing if permitted.
  • 04
Store Record: File the signed contract in the employee's personnel file and maintain retention per policy.

Configuring an Electronic Workflow for Completion and Signatures

Set up a digital workflow to route the contract, collect signatures, and preserve an audit trail for compliance.

Field Configuration
Signer Order Employee then employer representative to capture acceptance and authorization
Authentication Email link with optional SMS code or ID check for higher assurance
Notifications Automated reminders at customizable intervals until signature complete
Audit Trail Enable timestamp, IP, and action logs to support enforceability

Typical Routing and Submission Path for the Contract

A standard e-signature flow moves the document from drafter to signer(s) then into secure storage with audit records.

  • Draft Upload: HR uploads the finalized contract to the signing platform
  • Field Placement: Place signature, date, and initial fields for required parties
  • Signer Notification: System sends secure signing links or email invites to signers
  • Completion & Archive: Signed copy and certificate are stored in personnel records

Technical Considerations for Electronic Signing and Storage

Choose a platform that maintains encryption in transit and at rest, supports record retention policies, and documents consent for electronic delivery.

  • Authentication Options: Email, SMS code, or higher-assurance ID checks
  • Audit Trail: Timestamps, IP address, and event logs
  • File Formats: PDF or DOCX with tamper-evident storage

Key Timing Rules and Recommended Deadlines

Establish clear internal deadlines to minimize disputes and ensure timely acknowledgment and review.

Provide on Hire:

Deliver contract at or before the start date to ensure notice of expectations

Acknowledgment Deadline:

Ask employee to sign within 7 calendar days of receipt to document consent

Effective Date Clause:

Specify when obligations and discipline provisions begin (usually start date)

Annual Review:

Review and, if needed, renew or update during annual performance cycles

Retention Start:

Retention period begins on signing and influences storage requirements

Common Preparation Errors to Avoid

  • Using vague or overly broad language in behavioral standards that invites arbitrary interpretation and inconsistent enforcement.
  • Failing to document an employee's acknowledgment or using initials where a signature is required by policy or regulation.
  • Overlooking state-specific employment law limits on discipline, at-will disclaimers, or implied contract risks.
  • Not preserving the audit trail (timestamps, IP, consent) when using electronic signatures, which weakens proof of acceptance.

Primary Legal Risks and Potential Consequences

Enforceability Risk: Invalid contract clauses
Discrimination Claims: Procedural or substantive exposure
Breach Damages: Compensatory liability possible
Regulatory Sanctions: Industry-specific penalties
Recordkeeping Gaps: Evidence loss in disputes
I-9 Overlap: I-9 violations carry fines
