What the Employee CFA Agreement Is and When It Applies

An Employee CFA Agreement is a written contract between an employer and an employee that documents confidentiality obligations, assignment of inventions or creative works, and related post‑employment restrictions or duties. The document typically defines confidential information, describes how proprietary materials are handled, assigns intellectual property created during employment to the employer, and sets out consideration and term. It is used to protect business assets, preserve trade secrets, and establish ownership of work product created during employment. It can be executed as an electronic record under the ESIGN Act (15 U.S.C. ch. 96) and UETA.

Why an Employee CFA Agreement Matters

A clear Employee CFA Agreement reduces disputes over ownership and confidentiality, sets expectations for employees, and documents consideration for assignment or restrictive covenants.

Why an Employee CFA Agreement Matters

Who Typically Uses or Signs an Employee CFA Agreement

Employers, HR professionals, in‑house or outside counsel, and employees use this form to document confidentiality and IP assignment terms.

  • Employers and hiring managers — use agreements to protect trade secrets and confirm ownership of employee-created works.
  • Human resources teams — incorporate the CFA into offer packages and onboarding workflows for consistent recordkeeping.
  • Employees and contractors — sign to acknowledge duties, consider compensation, and confirm assignment of specified works.

Use the agreement early in onboarding or before work begins to create enforceable rights and to capture consent to electronic records where applicable.

Core Sections Found in a Professional Employee CFA Agreement

A well-structured Employee CFA Agreement organizes obligations, exceptions, ownership, and remedies so each party clearly understands rights and duties.

Parties & Recitals

Identifies employer and employee, effective date, and background facts that explain the business relationship and purpose of the agreement.

Confidentiality

Defines confidential information, permitted disclosures, handling procedures, duration of confidentiality obligations, and narrow exceptions for publicly available or previously known information.

Assignment of Inventions

Requires employee to assign inventions and work product created during employment to the employer, with clear scope, exception carve‑outs, and disclosure obligations for prior inventions.

Consideration

Describes what the employee receives in exchange—employment, bonus, equity, or other consideration—and confirms that consideration supports the assignment and restrictive provisions.

Term & Termination

Specifies when obligations begin and end, survivability of confidentiality and assignment clauses, and conditions for early termination or modification.

Enforcement & Remedies

Outlines injunctive relief, liquidated damages if applicable, choice of law, dispute resolution procedures, and indemnity or breach notice requirements.
