Standards of Conduct

Employees must perform duties in a professional, lawful and ethical manner. Prohibited conduct includes, but is not limited to: theft, fraud, physical violence, threats, unauthorized disclosure of confidential information, falsification of records, harassment, discrimination, and willful damage to company property. Violation of these standards may result in discipline up to and including termination.

Attendance and Punctuality

Regular attendance and punctuality are essential. Excessive unexcused absences or tardiness will be addressed through progressive discipline. Employees must notify their manager as soon as practicable of absences or expected tardiness.

Confidentiality and Data Protection

Employees with access to confidential or proprietary information must protect such information from unauthorized disclosure. Confidential information includes customer data, financial results, trade secrets, personnel records and any non-public business information. Use, retention and disclosure of confidential information must comply with company policy and applicable law.

Conflicts of Interest

Employees must avoid situations where personal interests conflict with the interests of the company. All potential conflicts, including outside employment or financial interests in vendors or competitors, must be disclosed to Human Resources or the employee's manager. Failure to disclose may result in corrective action.

Harassment and Equal Opportunity

The company prohibits unlawful harassment and discrimination. Harassment based on protected characteristics is strictly prohibited. Complaints will be investigated promptly and confidentially to the extent possible. Retaliation against individuals who raise concerns or participate in investigations is prohibited and will be disciplined.

Substance Use and Testing

Employees must not report to work under the influence of illegal drugs or alcohol. The company may require testing consistent with business necessity and applicable law. Refusal to cooperate with testing or a confirmed positive result may result in disciplinary action, up to termination.

Use of Company Property and IT Resources

Company property and information systems are to be used primarily for business purposes. Limited personal use is permitted if it does not interfere with work or violate policy. Unauthorized downloads, distribution of copyrighted material, or attempts to circumvent security controls are prohibited.

Safety and Workplace Security

Employees are expected to follow safety rules, report unsafe conditions, and cooperate with emergency procedures. Weapons are not permitted on company premises unless expressly authorized in writing. Security measures such as badge access and searches may be implemented in accordance with law.

Disciplinary Measures and Investigations

Allegations of misconduct will be investigated promptly, impartially and confidentially to the extent possible. Depending on the findings, disciplinary actions may include counseling, written warnings, suspension, demotion, or termination. The company reserves discretion to impose discipline commensurate with the severity of the misconduct.

Reporting Violations

Employees are required to report suspected violations of law or policy. Reports may be made to the employee's manager, Human Resources, or through any internal reporting channel designated by the company. What Employee Conduct Guidelines Are and Who They Serve

Employee Conduct Guidelines are a written policy that defines expected workplace behavior, ethical standards, and reporting procedures for employees. They outline acceptable conduct, conflict-of-interest rules, confidentiality obligations, and consequences for violations. Organizations use these guidelines to set consistent expectations, support compliance with employment and privacy laws, and provide a documented basis for corrective action. Well-drafted guidelines are concise, accessible to staff, and paired with an acknowledgment mechanism so employers can demonstrate distribution and receipt in personnel records.

Why a Clear Conduct Policy Matters

A formal Employee Conduct Guidelines document reduces ambiguity, supports fair discipline, and helps manage legal and reputational risk while promoting a consistent workplace culture.

Why a Clear Conduct Policy Matters

Who Prepares, Reviews, and Acknowledges This Policy

Human resources, compliance officers, and senior management typically draft and maintain the guidelines; line managers and employees implement and acknowledge them.

  • Human resources teams: Draft, update, and administer policy distribution and acknowledgment tracking.
  • Managers and supervisors: Explain standards to teams and enforce rules consistently.
  • Employees and contractors: Read, follow, and sign the acknowledgment to confirm receipt.

Records of distribution and signed acknowledgments belong in personnel files to demonstrate notice and consistent enforcement.

Core Elements to Include in Your Guidelines

A professional Employee Conduct Guidelines document should be organized, legally mindful, and actionable to serve both HR processes and compliance needs.

Scope

Define who the policy covers (employees, contractors, volunteers) and when the rules apply, including off-duty conduct where relevant and job-related exceptions.

Standards

List expected behaviors such as anti-discrimination, harassment-free conduct, confidentiality, conflict-of-interest rules, and acceptable use of company resources.

Reporting

Provide multiple reporting channels, non-retaliation assurances, and instructions for anonymous or third-party reporting where permitted.

Investigations

Describe how the employer will investigate allegations, timelines for review, confidentiality limits, and possible outcomes of inquiries.

Discipline

Explain progressive discipline steps, examples of misconduct, and circumstances that may lead to immediate termination.

Acknowledgment

Include a required acknowledgement section for employees to sign and date confirming they received, read, and understand the policy.

Required Information to Record and Track

Employee Name: Full legal name
Job Title: Position or role
Department: Organizational unit
Employee ID: Internal identifier
Acknowledgment Date: MM/DD/YYYY
Signature: Signed name and timestamp

Step-by-Step: Implementing and Completing the Acknowledgment

Use this sequence to distribute the guidelines, collect acknowledgments, and maintain records so you can demonstrate consistent notice and compliance.

  • 01
Prepare Document: Finalize policy language and version number.
  • 02
Distribute: Send to employees via secure channel.
  • 03
Collect Acknowledgment: Obtain signature and date electronically or on paper.
  • 04
File Record: Store signed copy in the employee file.

How to Configure an Electronic Acknowledgment Workflow

Configure workflow settings to ensure secure delivery, required authentication, and automatic filing of signed acknowledgments.

Field Configuration
Signing Order Sequential or parallel as needed
Authentication Email plus optional SMS code
Reminders Auto-reminder every 3 days
Storage Auto-save to HR file system

Where Completed Acknowledgments Should Be Sent

Route signed acknowledgments to the appropriate systems and personnel to ensure traceability and centralized recordkeeping.

  • HR Records: Primary storage for employee acknowledgments
  • Employee Copy: Provide signed PDF to employee
  • Manager Notification: Alert direct supervisor of completion
  • Compliance Archive: Retain copy in compliance repository

Technical Considerations for eDelivery and Signing

Choose a platform that supports secure signatures, audit trails, and your preferred integrations for storage and HRIS synchronization.

  • Integrations: Salesforce, Microsoft 365, NetSuite, Google Workspace
  • File Formats: PDF, DOCX, HTML supported
  • Authentication: Email, SMS, or advanced methods

Ensure the solution you select provides auditable timestamps, exportable certificates of completion, and secure storage consistent with applicable regulations.

Typical Timing and Review Expectations

Set clear deadlines for employee acknowledgment and periodic policy review to maintain currency and compliance with changing laws.

Acknowledgment Deadline:

Employees should sign within 7–14 days of policy issue

New Hire Requirement:

Include policy in onboarding; obtain signature before first day

Annual Review:

Review and update policy at least once per year

Post-Incident Update:

Revise within 30 days after major compliance incident

Record Retention Trigger:

Retention period begins on acknowledgment date

Common Preparation Errors to Avoid

  • Using vague or overly broad language that leaves enforcement subjective and invites inconsistent application across teams.
  • Failing to require an explicit signed acknowledgment or tracking the signature, which weakens proof of notice in disputes.
  • Not aligning the policy with state-specific employment laws, leading to conflicting provisions or unenforceable requirements.
  • Distributing updates informally without version control or clear effective dates, which creates confusion about the current standard.

Consequences of Incomplete or Incorrect Guidelines

Disciplinary Action: Progressive discipline up to termination
Legal Claims: Risk of employment or discrimination lawsuits
Regulatory Fines: Violations of privacy or safety laws
Reputational Harm: Loss of trust with employees and clients
Operational Risk: Reduced productivity and morale
Insurance Impact: Potential increased premiums or coverage limits

How Organizations Use Conduct Guidelines in Practice

Real-world examples show how digital distribution and digital acknowledgments reduce administrative friction and improve auditability.

Martin Properties — Tim Martin, Founder

Martin Properties moved acknowledgments online to reduce paper handling and ensure compliance.

  • The team used mobile signing in the field.
  • The result was consistent recordkeeping across offices and faster onboarding for new agents while preserving a clear audit trail.

Optica Ventures — Brian Fitzgibbons, COO

Optica centralized policy distribution and tracking using digital acknowledgments.

  • Managers received completion reports.
  • Centralized tracking made it easier to demonstrate training completion and enforce standards during performance reviews.

Practical Tips for Clear and Enforceable Guidelines

Follow these practices to reduce ambiguity, support consistent enforcement, and preserve defensible records.

Keep Language Specific
Use concrete examples of prohibited conduct, avoid open-ended phrases, and include illustrative scenarios so employees understand practical application.
Maintain Version Control
Number policy versions and include an effective date. Keep prior versions archived to demonstrate what was in force at any point in time.
Provide Multiple Reporting Paths
Offer hotline, email, and manager reporting options; document how anonymous reports are handled and how confidentiality is protected.
Train and Reinforce
Pair the written policy with role-based training, manager briefings, and periodic reminders to embed expectations into daily operations.
