Recitals and Purpose

This Employee Confidentiality Agreement (Agreement) is entered into to protect the proprietary, confidential and trade secret information of Employer. Employee will have access to Confidential Information in the course of employment or engagement and agrees to the restrictions and obligations set forth below.

Definitions

"Confidential Information" means non-public information proprietary to Employer, whether or not reduced to writing, including without limitation business plans, financial data, customer lists, pricing, marketing strategies, research and development, inventions, software, source code, processes, methodologies, and other technical or business information disclosed or made available to Employee.

Confidential Information excludes information that Employee can demonstrate (a) is or becomes publicly available through no fault of Employee; (b) was known to Employee prior to disclosure by Employer; (c) is rightfully received from a third party without restriction; or (d) is independently developed by Employee without use of Employer Confidential Information.

Obligations of Employee

Employee shall: (i) hold Confidential Information in strict confidence and not disclose it to any third party except as expressly permitted in writing by Employer; (ii) use Confidential Information solely for the performance of Employee's duties for Employer; (iii) take reasonable measures to protect Confidential Information from unauthorized disclosure, which measures shall be at least as protective as those Employee uses to protect Employee's own confidential information; and (iv) promptly notify Employer of any unauthorized use or disclosure of Confidential Information.

Term; Survival

The obligations to protect Confidential Information commence on the Effective Date and shall continue for a period of years after termination of Employee's employment or, with respect to trade secrets, for so long as the information remains a trade secret under applicable law. Provisions regarding return of materials, ownership and injunctive relief survive termination.

Return of Materials; Property

Upon termination of employment or upon Employer's written request, Employee shall promptly return or destroy all materials and copies containing Confidential Information. All Confidential Information and any derivatives or reproductions are the exclusive property of Employer.

Intellectual Property and Assignment

Employee acknowledges that all inventions, improvements, discoveries, developments, designs, works of authorship and other intellectual property created in the scope of employment or using Employer resources are Employer's sole property. To the extent permitted by law, Employee assigns and agrees to assign all rights in such intellectual property to Employer and will execute documents reasonably necessary to effectuate such assignment.

Remedies; Injunctive Relief

Employee acknowledges that a breach may cause Employer irreparable harm for which monetary damages would be inadequate. Employer shall be entitled to seek injunctive relief and any other equitable remedies in addition to monetary damages and all other remedies available at law or in equity.

Authorization to Contact and Background Check

Employee authorizes Employer to contact prior employers and references and to obtain background checks, consumer reports or other investigations as permitted by law. Employee consents to such inquiries by checking below:

At‑Will Employment and Equal Opportunity

Nothing in this Agreement shall be construed to alter the at-will nature of Employee's employment, except where a written agreement signed by Employer's authorized representative expressly provides otherwise. Employer is an equal opportunity employer and does not discriminate on the basis of protected characteristics.

Limitation of Liability; Governing Law

Except for injunctive relief and willful misconduct, neither party shall be liable to the other for consequential or incidental damages arising out of this Agreement. This Agreement shall be governed by the laws of the state where Employer's principal place of business is located, without regard to conflict of law principles.

Severability; Entire Agreement

If any provision of this Agreement is held invalid or unenforceable, the remainder shall continue in full force and effect. This Agreement constitutes the entire agreement between the parties regarding Confidential Information and supersedes prior oral or written agreements on that subject.

What an Employee Confidential Agreement Is and when it applies

An Employee Confidential Agreement is a written contract that sets out how an employee must protect an employer’s confidential information, trade secrets, and proprietary materials. It defines what counts as confidential, restricts unauthorized use and disclosure, prescribes obligations during and after employment, and identifies remedies for breach. Employers use this agreement for hires, transfers, and contractors to preserve intellectual property and client data. When properly executed and tailored to applicable law, the agreement supports enforcement of secrecy obligations and helps document reasonable safeguards for sensitive business information.

Why a clear Employee Confidential Agreement matters

A precise agreement reduces legal uncertainty, documents expectations, and preserves trade secret protections while supporting enforcement under ESIGN and state contract law frameworks.

Why a clear Employee Confidential Agreement matters

Who commonly uses this agreement in practice

Use the agreement for new hires, role changes with access to secrets, contractor engagements, and mergers or due diligence where immediate confidentiality is required.

  • Human resources teams handling onboarding and records management across employee types.
  • In-house counsel or outside counsel drafting enforceable confidentiality and IP assignment terms.
  • Hiring managers and business leaders protecting customer lists, product roadmaps, or pricing data.

Typical signatories and reviewers

HR Manager

HR managers prepare and distribute the agreement during onboarding, ensure the correct template and effective date are used, and confirm signed copies are stored in personnel records for the required retention period.

General Counsel

General counsel reviews or customizes restrictive covenants, advises on enforceability (for example non-compete language in California), and coordinates any required state-specific clauses or addenda.

Core elements to include in a professional Employee Confidential Agreement

A robust agreement is concise but comprehensive, balancing enforceability with operational clarity. Key elements define covered information, permitted uses, duration, return of materials, remedies, and governing law.

Definition of Confidential Information

Precisely list categories (examples, trade secrets, customer lists, technical data) and exclude public or independently developed information to avoid ambiguity.

Permitted Disclosures

Describe authorized disclosures (to counsel, with prior consent, or as legally compelled) and procedures for subpoenas or legal process handling.

Duration and Survival

Set term during employment and a post-termination period; tailor duration to the sensitivity and typical industry norms.

Return and Destruction

Specify timelines and methods for returning or securely destroying physical and electronic materials on termination or request.

Remedies and Injunctive Relief

Include remedies (injunction, damages, attorneys’ fees) and notice procedures for suspected breaches to preserve rights promptly.

Governing Law

Identify the state law that will govern interpretation and enforcement, mindful of ESIGN and state restrictions on certain covenants.

Step-by-step: completing and executing the agreement

Follow a consistent completion sequence to reduce errors and to ensure enforceability under electronic signature laws.

  • 01
Prepare Template: Customize the template to specific role and jurisdiction requirements before sending.
  • 02
Populate Fields: Enter names, effective date, scope, and duration. Double-check legal entity names.
  • 03
Sign and Authenticate: Collect signatures via secure eSignature or ink signature with appropriate witness/notary if required.
  • 04
Store and Distribute: Provide executed copies to employee and retain the signed agreement in the personnel file.

How digital execution typically flows

A standard digital workflow reduces friction while capturing authentication and an audit trail required for later proof.

  • Upload Document: Sender uploads the agreement in PDF or DOCX format.
  • Place Fields: Assign signature, date, and initial fields for each signer.
  • Send to Signer: Signers receive an email or secure link to review and sign.
  • Capture Audit Trail: Platform records timestamps, IP, and authentication events for evidentiary support.

Configuring an online signing workflow

Key settings control signer order, authentication strength, and document retention when sending the agreement electronically.

Field Configuration
Signer Order Sequential or parallel
Authentication Email, SMS code, or stronger ID verification
Notifications Automatic reminders and completion notices
Retention Specify storage duration and export format

Digital signing considerations and integrations

Ensure the platform can export signed copies, preserve audit logs, and integrate with the HR and document systems your organization uses.

  • File Formats: PDF, DOCX, and HTML supported
  • Integrations: CRM and HR apps: Salesforce, NetSuite
  • Security Standards: TLS, AES-256 encryption

Security and compliance features to document

Encryption: TLS 1.2/1.3 in transit
Data at Rest: AES-256 encryption
Certifications: SOC 2 Type II, ISO 27001
HIPAA: BAA required
Audit Trail: Timestamped signature logs
Accessibility: WCAG 2.0 Level AA

Key legal risks and consequences of a flawed agreement

Loss of Protection: Trade secret exposure
Contract Invalidity: Overbroad restrictions unenforced
Litigation Costs: Damages and fees
Injunctive Needs: Urgent court relief possible
Regulatory Exposure: HIPAA violations for PHI
Reputational Harm: Employee relations impact

Common mistakes to avoid when preparing the agreement

  • Using vague or overly broad definitions that may render secrecy obligations unenforceable in court.
  • Failing to name the correct legal entity or to match employee legal names, which can complicate enforcement.
  • Neglecting state-specific limits on restrictive covenants, especially in jurisdictions like California where non-competes are restricted.
  • Not documenting consideration or failing to obtain a contemporaneous signature, weakening contract formation arguments.

Best practices for drafting, executing, and enforcing confidentiality terms

Follow clear drafting and operational routines to maximize enforceability while minimizing administrative friction.

Narrow Definitions
Limit confidentiality to specific categories and examples. Overbroad definitions risk invalidation; targeted scope increases court tolerance and helps employees know what to protect.
Consideration and Timing
Document adequate consideration (offer, continued employment, or payment) and obtain signatures at onboarding or at the time of a material role change to avoid formation disputes in litigation.
Authentication and Storage
Use an auditable signing method that captures signer identity and timestamps. Retain final signed copies and an immutable audit trail to support enforcement actions.
State-Specific Review
Review restrictive covenant language with counsel for jurisdictions with special rules (for example California). Tailor remedies and durations to local standards to preserve enforceability.

Practical examples of how organizations use the agreement

Two brief scenarios show common uses and outcomes when the agreement is properly implemented.

Tech Startup

A small R&D firm requires employees to sign on hire

  • non-disclosure plus IP assignment
  • when a developer left with source code, the agreement supported an injunction and a negotiated settlement protecting product launch schedules.

Regional Clinic

A healthcare provider uses a HIPAA-aware confidentiality addendum

  • restricted PHI access and breach notice terms
  • after a laptop theft the documented safeguards and quick response reduced regulatory penalties and supported patient notifications.
