What an Employee Counsellor Agreement Is

An Employee Counsellor Agreement is a written contract that sets the terms under which a counselor provides workplace counseling services to an employer and its employees. It typically defines scope of services (individual or group counseling, crisis support, referrals), confidentiality and recordkeeping obligations, fees and billing, scheduling and location, limits of confidentiality and mandatory reporting exceptions, data protection (HIPAA where applicable), termination rights, and governing law to reduce disputes.

Why a Clear Agreement Matters

A clear Employee Counsellor Agreement reduces legal risk, protects employee privacy, and sets expectations for services, fees, and recordkeeping. It documents consent, clarifies reporting obligations, and creates enforceable remedies to manage disputes and regulatory compliance.

Why a Clear Agreement Matters

Who Typically Prepares and Signs This Agreement

HR, legal, and licensed counselors typically prepare or review the Employee Counsellor Agreement to ensure compliance with employment policies and privacy rules.

  • Human Resources teams create and manage agreements, maintain records, and coordinate signatures with employee confidentiality in mind.
  • In-house Legal Counsel reviews liability clauses, governing law, indemnity, and compliance with HIPAA and employment law.
  • Licensed counselors or vendor representatives sign service terms, confirm credentials, and coordinate Business Associate Agreements when PHI is handled.

Use relevant stakeholders for review sign-off and retain executed copies in employee records and secure document storage systems.

Primary Signatory Roles

HR Director

Typically signs on behalf of the employer, ensures the agreement aligns with company policies, authorizes budget for counselling services, and coordinates employee notices. HR should confirm retention policies and whether a BAA or privacy addendum is necessary when PHI is involved.

Counsellor

The counselor signs to accept service terms, confidentiality obligations, scheduling commitments, fee arrangements, and professional liability limitations. Contractors should indicate license numbers, malpractice coverage, and whether they will act as a Business Associate under HIPAA when handling protected health information.

Essential Contract Clauses to Include

Key clauses in an Employee Counsellor Agreement define responsibilities, privacy rules, payment terms, limits of liability, termination rights, and dispute resolution procedures.

Scope of Services

Specify counseling types, session length, maximum number of sessions, scheduling rules, telehealth or on-site delivery, referral obligations, and any exclusions to prevent scope disputes.

Confidentiality

Define confidentiality limits, exceptions for mandatory reporting, procedures for subpoenas, data storage security, and whether PHI will be created or transmitted under HIPAA rules.

Fees & Billing

State fee schedule, invoicing cycle, acceptable payment methods, late payment penalties, expense reimbursement, and whether employer or employee is responsible for charges.

Term & Termination

Set the agreement term, renewal conditions, termination for convenience or cause, notice periods, and post-termination obligations such as final billing and records preservation.

Liability & Indemnity

Allocate liability caps, define malpractice insurance minimums, include indemnification for third-party claims, and specify carve-outs for gross negligence or willful misconduct to limit exposure further.

Records & Access

State retention periods, who owns counseling records, access rights by employee or employer, audit rights, and obligations to produce records for legal process subject to confidentiality rules.

Common Mistakes to Avoid

  • Vague service descriptions lead to disputes about session counts, locations, telehealth rights, and provider responsibilities, often resulting in billing disagreements or unmet expectations.
  • Failing to include HIPAA or BAA provisions when PHI is likely can create exposure to regulatory penalties and privacy breaches.
  • Misclassifying a contractor as an employee or vice versa affects tax reporting, benefits obligations, and workers' compensation coverage.
  • Omitting clear termination notice periods or post-termination record handling causes confusion and potential litigation over final payments and record access.

Practical Tips for Accurate and Efficient Completion

Practical tips to prepare, negotiate, and maintain Employee Counsellor Agreements that minimize risk and maintain compliance.
