What an Employee Customer Agreement Covers

An Employee Customer Agreement is a written contract that sets the terms between an employee or individual service provider and a customer for the delivery of goods or services. It typically clarifies scope of work, timelines, fees, confidentiality, dispute resolution, liability limits, and termination rights. For organizations that assign employees to customer-facing roles, the agreement documents responsibilities, customer expectations, and any special requirements such as background checks, HIPAA handling, or access permissions. The agreement can be executed on paper or electronically and should include signature blocks for all parties and a clear effective date.

Why use an Employee Customer Agreement

This agreement reduces ambiguity about obligations, protects confidential information, allocates risk, and sets payment and cancellation terms. When signed properly it creates an enforceable contract under federal and state e-signature law, including the ESIGN Act (15 U.S.C. ch.96) and the Uniform Electronic Transactions Act (UETA).

Why use an Employee Customer Agreement

Who typically prepares and signs this agreement

Common parties include individual employees or contractors, the customer or client receiving services, and an authorized company representative for employer-led engagements.

  • Individual service providers and contractors who perform client-facing work and need written terms for payment, liability, and confidentiality.
  • Customer or client contacts who must acknowledge scope, fees, and access rules before services begin.
  • Employers or authorized managers who bind the company to provide oversight, insurance, and dispute resolution provisions.

Use the agreement to align expectations before work begins and ensure signatures come from persons with authority to bind their organization.

Missing Consent: Lack of e-sign consent undermines ESIGN protections
Late Payment Claims: Increases collection disputes

Common mistakes when preparing this agreement

  • Failing to capture full legal names and titles, which creates ambiguity about who is bound by the contract.
  • Using vague scope language that leads to disputes over deliverables, timelines, or additional fees.
