What this agreement is and when it applies

An Employee Customer Success Partner Agreement is a written contract that defines the working relationship, duties, performance expectations, compensation structure, confidentiality obligations, and termination terms for a customer success partner employed or engaged by an organization. It documents mutual obligations, sets measurable performance metrics and any commission or bonus arrangements, and clarifies intellectual property, non-solicit, and data-handling responsibilities. The agreement functions as the primary record of consent and authority for both parties and can be executed electronically under U.S. e-signature law when the parties consent to electronic records and signatures.

Why documenting a Customer Success Partner relationship matters

A clear written agreement reduces ambiguity about duties, pay, and IP ownership, helps enforce confidentiality and non-solicit terms, and creates an auditable record for HR and payroll. It supports compliance with employment, tax, and privacy obligations and provides evidence in disputes.

Why documenting a Customer Success Partner relationship matters

Who typically completes this agreement

The agreement is prepared by HR, legal, or the hiring manager and completed by the new or existing Customer Success Partner.

  • Human resources or finance teams handling onboarding and payroll documentation.
  • Hiring managers or team leads responsible for performance metrics and targets.
  • External contractors or consultants engaged as Customer Success Partners.

Who signs this agreement

Employee — Customer Success Partner

The individual performing customer success duties signs to accept job description, compensation, commissions, confidentiality, and IP assignment clauses; signature binds the individual to post-termination restrictions where lawful and confirms receipt of the agreement.

Employer Representative

An authorized HR representative or hiring manager signs on behalf of the company to confirm offer terms, effective date, pay structure, and the company’s obligations; this signer should be listed with title and contact information for enforcement and recordkeeping.

Essential clauses to include in the agreement

A professional Employee Customer Success Partner Agreement should include core employment, compensation, confidentiality, IP, termination, and compliance provisions tailored to the role and applicable law.

Non-disclosure terms protecting customer data, trade secrets, and proprietary processes, and definitions of permitted disclosures under law or court order.

Assignment of work product and deliverables to the employer, including inventions and customer-facing materials created during the engagement.

Non-solicit and non-compete

Common mistakes to avoid

  • Using informal or inconsistent names that do not match payroll or tax records, which creates delays in processing and potential withholding errors.
  • Failing to define commission triggers or calculation methods clearly, causing disputes over earned amounts and timing of payments.
  • Omitting confidentiality carve-outs for customer data and regulated information, risking regulatory exposure under HIPAA or other privacy laws.
  • Not retaining an auditable signed copy with timestamps and signer attribution, which weakens enforcement and complicates audits.

Document commission mechanics
Spell out triggers, measurement periods, payout timing, and adjustment mechanisms to avoid disputes and ensure consistent payroll treatment.
Preserve the audit trail
Retain signed PDFs with timestamps, IP addresses, and signer attribution to meet ESIGN/UETA evidentiary requirements and support internal audits.
