What an Employee Dealer Agreement Covers

An Employee Dealer Agreement is a legally binding contract between an employer and an individual authorized to represent, sell, or manage dealer-related business on the employer's behalf. It allocates duties, territorial or product limitations, compensation and commission mechanics, confidentiality obligations, insurance and warranty handling, and termination rules. The document may reference required exhibits (price lists, commission schedules, product manuals) and can include notarization or witness language where state law or industry custom requires additional authentication. Electronic execution is generally enforceable under ESIGN and UETA when intent, consent, attribution, and retention requirements are satisfied.

Why a Clear Agreement Matters

A well-drafted Employee Dealer Agreement reduces ambiguity about selling authority, protects intellectual property, defines compensation, and lowers dispute risk. Precise terms improve enforceability and help ensure tax, licensing, and regulatory compliance across jurisdictions.

Why a Clear Agreement Matters

Who Typically Prepares and Signs This Agreement

Typical users who complete this agreement include employer HR or legal staff, dealership managers, and individual sales representatives.

  • HR and legal teams managing employment and commission terms and supporting compliance across payroll and benefits.
  • Dealership general managers supervising authorized sellers and territory rules while enforcing performance and reporting obligations.
  • Sales representatives or contractors signing on to commission schedules, compliance clauses, and confidentiality obligations.

Organizations across automotive distribution, real estate-related dealerships, and equipment resellers commonly use this contract to formalize selling authority and compensation arrangements.

Key Roles Associated with the Agreement

The HR Manager prepares and maintains Employee Dealer Agreements, coordinates onboarding, verifies tax and payroll requirements, and updates commission tables. They liaise with legal counsel to tailor noncompete, confidentiality, and dispute resolution clauses to minimize litigation risk and ensure consistent internal application.

Dealer Principal

The Dealer Principal authorizes sales staff, defines territory and inventory responsibilities, approves compensation plans, monitors performance metrics, and signs off on amendments affecting dealer rights. They handle operational disputes and enforce contract terms at the business level.

Confidentiality

Compliance

Require adherence to applicable federal and state laws, manufacturer or franchisor standards, export controls, anti-corruption rules, and recordkeeping necessary for tax and warranty claims.
