What the Employee Direct Placement Agreement Is

An Employee Direct Placement Agreement is a contract between a hiring employer and a recruiting or placement agency that governs the permanent placement of a candidate. It defines the placement fee, payment terms, candidate acceptance process, any replacement or refund obligations, representations about candidate qualifications, confidentiality provisions, and the effective date. The agreement allocates responsibility for pre-employment checks, tax classification, and any noncompete or non-solicitation restrictions that affect the placed candidate. It is used when a recruiter’s role ends with a hire rather than a temporary assignment.

Why this Agreement Matters for Employers and Recruiters

A clear Employee Direct Placement Agreement reduces disputes about fees and candidate ownership, sets expectations for onboarding, and protects confidential information.

Why this Agreement Matters for Employers and Recruiters

Typical Parties Who Use an Employee Direct Placement Agreement

The document helps payroll, HR, and legal teams coordinate onboarding, taxation, and any post-placement remedies without relying on informal emails.

  • Staffing agencies and search firms placing permanent hires and defining fee structures and replacement guarantees.
  • Hiring companies that want written clarity on payment timing, candidate warranties, and exclusivity or non-solicitation rules.
  • In-house talent acquisition teams contracting with external recruiters for retained or contingent searches.

Core Sections to Include in a Professional Agreement

A robust Employee Direct Placement Agreement groups obligations into clear sections so each party knows duties, timelines, and remedies.

Parties

Names and contact details of the employer and placement agency, including legal entity names and addresses; use exact registered names to avoid ambiguity.

Placement Fee

Specify percentage or flat fee, when it is earned, invoicing schedule, and consequences for late payment or tax treatment of the fee.

Candidate Ownership

Define the time window for candidate exclusivity and what prior introductions or referrals trigger fee liability for the employer.

Replacement/Refund

State any guarantee period, conditions that void the guarantee, and the process for replacement or refund if the placed employee departs.

Representations

Agency warranties about candidate qualifications and authority to present candidates; include background-check responsibility and accuracy caveats.

Confidentiality & IP

Protect proprietary information exchanged during the search and clarify ownership of candidate-related intellectual property where applicable.

Step-by-Step: How to Complete and Execute the Agreement

Follow a consistent sequence to complete, review, sign, and store the agreement for enforceability and audit readiness.

  • 01
Prepare draft: Populate names, fees, and candidate details.
  • 02
Review terms: Legal and HR review representation and guarantee clauses.
  • 03
Obtain signatures: Collect authorized signatures from both parties.
  • 04
Distribute copies: Provide signed PDFs to internal stakeholders and store securely.

Typical eSigning Flow for a Direct Placement Agreement

Electronic signing typically follows a sender-upload, field-placement, signer-notification, and completion workflow with an audit trail.

  • Upload Document: Sender uploads the agreement PDF or DOCX into the signing platform.
  • Place Fields: Add signature, date, and initial fields where required.
  • Send to Signers: Notify signers by email or secure link; include signer order if needed.
  • Capture Audit Trail: Platform records timestamps, IPs, and authentication method for evidentiary support.

Recommended Digital Workflow Settings for eSigning

Configure signing workflows to match your internal approval and authentication needs before sending the agreement for signature.

Field Configuration
Signature Order Sequential or parallel depending on approval requirements
Authentication Email link with optional SMS code for higher assurance
Reminder Schedule Auto-reminders at 3 and 7 days after send
Who Receives Copy Sender, employer legal, recruiting contact

Technical Considerations for eSigning and Storage

Ensure the chosen solution captures a detailed audit trail and supports your retention policy and any required BAAs for healthcare-related placements.

  • File Formats: PDF and DOCX supported for import and output
  • Integrations: CRM and ATS integrations (Salesforce, NetSuite, Google Workspace)
  • Security: AES-256 at rest; TLS 1.2/1.3 in transit

Security and Compliance Essentials to Note

Encryption: TLS 1.2/1.3 in transit
Data at rest: AES-256 encryption
Audit trail: Timestamp, IP, action log
HIPAA support: BAA available when required
Authentication: Email, SMS, or advanced signer verification
Certifications: SOC 2 Type II and ISO 27001

Key Legal Risks and Penalties to Avoid

Unclear fee terms: May lead to disputed invoices
Missing signatures: Agreement may be unenforceable
I-9 noncompliance: Penalties per 8 CFR may apply
HIPAA breach: 6-year record retention and penalties
Wrong tax treatment: Backup withholding or tax audits
Improper revocation: Failure to document cancellations

Common Preparation Mistakes to Avoid

  • Using informal emails instead of a signed agreement, which complicates fee disputes and proof of terms in litigation.
  • Failing to identify the legal entity that will invoice or receive payment, causing delayed payment or misdirected notices.
  • Omitting a clear replacement or refund policy, leaving parties with ambiguous remedies if a hire departs early.
  • Neglecting candidate identifiers (full name and email) so subsequent disputes over which candidate triggered fees are harder to resolve.

Key Deadlines and Timing Rules to Track

Track effective dates, guarantee windows, invoicing deadlines, and any statutory retention or employment verification deadlines.

Effective Date:

Defines when obligations begin; use MM/DD/YYYY format

Invoice Timing:

State net terms and due date to avoid late-fee disputes

Replacement Window:

Commonly 30–90 days after start for guarantee obligations

I-9 Timing:

Complete per 8 CFR §274a.2 required deadlines

Record Retention:

Follow IRS and HIPAA timing in retention guidance
