What the Employee Distributor Agreement Covers

An Employee Distributor Agreement is a written contract that defines terms between an employer and an employee-authorized distributor who markets or resells company products or services. It sets out territory, sales responsibilities, compensation and commission structure, inventory or sample handling, confidentiality obligations, intellectual property rights, noncompete or nonsolicitation clauses, performance metrics, and termination conditions. The agreement clarifies reporting, expense reimbursement, dispute resolution, and compliance with applicable laws. Using a clear, signed agreement reduces misunderstandings and provides an enforceable baseline for measuring distributor performance.

Why a Clear Agreement Matters

A well-drafted Employee Distributor Agreement protects both parties by documenting responsibilities, payment terms, and intellectual property rights. It reduces risk by defining performance expectations and termination processes, supports legal enforceability under ESIGN/UETA when signed electronically, and promotes predictable business operations.

Why a Clear Agreement Matters

Who Typically Prepares and Signs This Agreement

Common users include HR managers, sales directors, in-house counsel, and employees assigned distributor responsibilities within a company.

  • HR and operations teams handling onboarding, compliance, and expense reimbursement processes.
  • Sales and channel managers defining territory, quotas, and commission schedules for employee distributors.
  • Legal advisors drafting clauses for IP protection, noncompete limits, and dispute resolution.

Use the agreement to align incentives, limit liability, and document termination or conversion to third-party distributor status.

Core Sections to Include for a Professional Agreement

Core sections of an Employee Distributor Agreement describe responsibilities, compensation, IP, compliance obligations, territories, and termination processes to ensure enforceability and operational clarity.

Parties

  • Failing to specify commission calculations or chargeback rules causes payment disputes and can trigger audit or tax issues.
  • Overbroad noncompete clauses may be unenforceable in some states; tailor restrictions and consult counsel for reasonableness.
  • Not documenting expense reimbursement or sample handling results in unexpected costs and inventory losses; state clear procedures.

Penalties and Legal Risks of an Incorrect Agreement

Tax Reporting: Incorrect classification triggers IRS penalties.
Backup Withholding: Missing TIN may require 24% withholding.
I-9 Violations: Failure to retain forms faces DHS fines.
Unenforceable Covenants: Overbroad terms risk invalidation.
