What the Employee Early Exercise Notice Is and When It Applies

An Employee Early Exercise Notice is a written declaration by an option holder notifying their employer of intent to exercise vested or early-exercisable stock options before typical vesting or standard exercise windows. It documents exercise details, payment method, tax elections, and any required representations. Employers use the notice to record share issuance, update cap table records, and trigger payroll or withholding processes. The form helps both parties meet administrative, tax, and securities requirements associated with early exercise and provides evidence of timing and terms if disputes or audits arise.

Why an Early Exercise Notice Matters for Employees and Employers

Completing an Employee Early Exercise Notice creates a clear record of the exercise event, clarifies payment and withholding obligations, and preserves tax election timing such as an 83(b) filing window. It reduces administrative risk and supports accurate securities and payroll reporting while documenting mutual consent to the transaction.

Core elements every professional Employee Early Exercise Notice should include

Ensure the notice is complete, unambiguous, and aligned with the underlying option grant and company policy to speed acceptance and recording.

Clear title and reference to the applicable stock option plan and grant agreement to match administrative records and avoid ambiguity.

Employee details

Full legal name, TIN/SSN, address, and contact information so payroll and tax reporting use correct identifying data.

Option specifics

Grant ID, grant date, vesting status, number of shares, and exercise price as stated in the grant agreement to validate eligibility.

Payment terms

Payment method, timing, and withholding instructions, including whether net exercise or cashless methods are permitted by the plan.

Tax elections

Indicate 83(b) election intent and confirm employee acknowledges election timelines and tax consequences where applicable.

Essential data points to collect on the notice

Employee name: Full legal name
Tax identifier: SSN or TIN
Grant ID: Plan/grant identifier
Shares exercised: Exact integer amount
Exercise price: Per-share and total
Signature date: MM/DD/YYYY format

Short risks and potential penalties to be aware of

83(b) deadline: 30 days
Backup withholding: 24%
Incorrect TIN: Penalties apply
Late reporting: Information return fines
Securities breaches: Noncompliance risk
Record retention: Legal exposure

Common errors that slow processing

  • Missing or late 83(b) election: failing to file within the required 30-day window creates adverse tax consequences and missed opportunities.
  • Mismatched names or TINs: payroll and tax reporting may be delayed or trigger backup withholding if identifiers do not match IRS records.
  • Incorrect exercise amount or price: numeric errors often require amendment and re-approval, lengthening processing time and increasing audit risk.
  • Unclear payment instructions: ambiguous payment method or missing funds cause rejection or require manual intervention by finance teams.
