What the Employee Equity Grant Agreement Covers

An Employee Equity Grant Agreement documents the terms under which an employer grants equity-based compensation to an individual, such as stock options, restricted stock units (RSUs), or stock appreciation rights (SARs). It defines the number of shares or units, vesting schedule, exercise or settlement mechanics, repurchase or forfeiture conditions, tax withholding obligations, and any transfer or resale restrictions. When executed correctly it creates enforceable rights for both parties and interacts with plan-level documents, corporate charters, and tax rules. Electronic signatures are acceptable under U.S. law (ESIGN Act and UETA) when consent and attribution are present.

Why a Clear Agreement Matters for Employers and Employees

A precise Employee Equity Grant Agreement aligns expectations, reduces dispute risk, and clarifies tax and exercise obligations for both parties, supporting compliance with corporate and securities rules.

Why a Clear Agreement Matters for Employers and Employees

Who Typically Prepares and Signs These Agreements

Common users include HR, executive leadership, and in-house or external counsel who coordinate grant approvals and issuance.

  • Human resources and compensation teams manage grant administration and communications with employees.
  • Company legal counsel drafts or reviews language to ensure compliance with charter and securities laws.
  • Employees, executives, and board members sign to accept grant terms and trigger recordkeeping.

Employees and authorized corporate officers sign the agreement; trustees or transfer agents may also act where shares are issued or recorded.

Essential Clauses to Include in a Professional Agreement

A well-drafted Employee Equity Grant Agreement combines operational details with legal protections so the grant is administrable and enforceable across corporate transactions.
