What an Employee Exiting Agreement Is

An Employee Exiting Agreement is a formal written contract that documents the terms and conditions applicable when an employment relationship ends. It typically covers separation date, final pay and benefits, confidentiality and return of company property, non-compete or non-solicitation clauses where permitted, and mutual releases of claims. The agreement records each party’s obligations, any severance or continuation of benefits, and procedures for post-employment cooperation. Properly executed, it clarifies expectations, reduces dispute risk, and creates an auditable record of the separation.

Why Use an Employee Exiting Agreement

Use an Employee Exiting Agreement to document separation terms, limit post-employment disputes, and ensure statutory and contractual obligations are met. It provides certainty about final pay, benefit continuation, intellectual property, and confidentiality, reducing litigation risk and facilitating orderly transitions.

Separation Terms

Compensation

Detail final wages, bonus eligibility, stock vesting, and any clawback provisions. Specify payment dates, method, and tax withholdings to ensure payroll compliance and reporting requirements.

Confidentiality

Include obligations to protect trade secrets and confidential information post-termination, define duration, permitted disclosures, and remedies for breach to preserve intellectual property and enforcement mechanisms.

Noncompete

When lawful, describe scope, geographic limits, duration, and consideration. Ensure restrictions are narrowly tailored with specific examples of restricted activities to improve enforceability under applicable state law.

Return of Property

Require return of company devices, keys, badges, and data. Specify timelines, condition requirements, and consequences for failure to return property including legal remedies and cost recovery.

Release & Claims

Set forth any mutual releases, scope of waived claims, survival clauses, and exceptions. Clarify whether releases extend to affiliates and third-party claims, and list exceptions where statutory claims cannot be waived.
