What an Employee GM Agreement Covers

An Employee GM Agreement is a written employment contract that sets out the role, responsibilities, compensation, confidentiality, and termination terms for a General Manager-level employee. It documents performance expectations, reporting lines, bonus or incentive criteria, restrictive covenants (if any), and provisions for benefits, expense reimbursement, and IP assignment. The agreement creates enforceable obligations between employer and employee and is commonly used where more detail than an offer letter is required, or when noncompete, nondisclosure, or bonus formulas must be precise and unambiguous.

Why a Formal Agreement Matters

A clear written agreement reduces ambiguity about duties, pay, and post-employment restrictions, and provides evidence of consent and expectations if disputes arise. It also helps align incentives and protects proprietary information while documenting legally significant dates and obligations.

Why a Formal Agreement Matters

Who Typically Prepares and Signs This Agreement

Use the agreement to ensure alignment before onboarding, payroll setup, and benefits enrollment.

  • Hiring managers and HR staff who need documented role and compensation terms.
  • General Managers or executive hires who require clear bonus and termination provisions.
  • In-house or outside counsel who draft or review restrictive covenant and IP clauses.

Signatory Roles and Typical Signers

Employer Representative

A corporate officer, authorized HR leader, or delegated manager should sign for the employer. That signer must have authority to bind the company and confirm compensation, reporting structure, and termination rights; include title and position to clarify signature authority.

Employee

The General Manager named in the agreement must sign and date the document. The employee's signature demonstrates assent to all terms, including restrictive covenants, bonus metrics, and arbitration or dispute-resolution clauses where present.

Core Components to Include in the Agreement

A professional Employee GM Agreement organizes obligations clearly and uses plain but precise language. Include the sections below to reduce interpretation risk and ensure enforceability.

Position and Duties

Describe the GM role, essential duties, reporting relationships, location of work, and any travel or relocation expectations in measurable terms to limit ambiguity in performance evaluation and scope of authority.

Compensation

Specify base salary, pay frequency, bonus or incentive formulas, commission mechanics if any, equity grants or vesting schedules, and how payroll deductions and reimbursements will be administered.

Term and Termination

State whether employment is at-will or for a fixed term, list grounds for cause termination, notice periods, severance terms, and procedures for resignation or company-initiated termination.

Confidentiality and IP

Include nondisclosure obligations, ownership of work product and inventions, assignment of IP rights, and permitted disclosures for legal or compliance purposes.

Restrictive Covenants

If applicable, include noncompete, nonsolicit, and nondisparagement provisions with geographic and temporal limits tailored to reasonableness under governing state law.

Compliance and Policies

Reference company policies (handbook, codes of conduct), arbitration or dispute resolution clauses, benefit eligibility, and any required pre-employment conditions (background checks, drug testing).

Step-by-Step: Completing and Executing the Agreement

Follow these steps in order to prepare, review, and finalize an Employee GM Agreement with minimal friction.

  • 01
Draft: Prepare a draft using standard clauses tailored to the role and company policies.
  • 02
Review: Have HR and legal review for compliance, clarity, and enforceability.
  • 03
Confirm Details: Verify compensation, dates, and signatory authority with payroll and leadership.
  • 04
Execute: Obtain signatures from the employee and authorized employer representative; record execution dates.

How to Configure an Online Signing Workflow

Set up a signing workflow that captures intent, attribution, and retention in line with ESIGN/UETA requirements.

Field Configuration
Signature Field Required for employee and employer signer; include date field
Identity Verification Email plus SMS or KBA for higher-risk executives
Execution Order Employer sign first or last depending on policy; enable countersign if needed
Audit Trail Enable full audit trail capture (IP, timestamp, actions)

Where to Send and File the Completed Agreement

After execution, distribute and file copies to required stakeholders and recordkeeping systems.

  • Employee Copy: Provide a signed PDF to the employee for personal records.
  • HR File: Store in the employee personnel file per retention policy.
  • Payroll: Send compensation details to payroll for setup and tax reporting.
  • Legal or Compliance: Retain a signed version and audit trail for legal compliance and dispute defense.

Digital Signing and Platform Considerations

Ensure the platform permits export of a signed PDF and audit record to satisfy record retention and legal defensibility requirements.

  • Document Formats: PDF and DOCX supported
  • Authentication: Email link, SMS, or advanced 2FA
  • Integrations: Works with HRIS and cloud storage

Example Scenarios: How Organizations Use an Employee GM Agreement

Practical examples show common clauses and the business reasons behind them.

Hospitality Chain

A national restaurant operator includes bonus KPIs tied to store profitability

  • Bonus paid quarterly based on audited P&L
  • The clause clarifies calculation, prevents disputes, and permits payroll to automate bonus payments once metrics are certified.

Regional Retailer

A retailer requires assignment of manager-created merchandising plans

  • IP assigned to employer upon creation
  • This prevents later conflicts when a manager moves between competitors and ensures the retailer retains exclusive rights to store formats.
