What the Employee IAR Agreement Covers

The Employee IAR Agreement is an employment and compliance contract used when a firm hires or assigns duties to an Investment Adviser Representative (IAR). It documents the representative’s responsibilities, licensing and registration status, compensation structure, confidentiality and compliance obligations, supervisory reporting lines, and conditions for termination or transfer. The agreement typically includes acknowledgments of securities law compliance, continuing education requirements, and consent to firm policies such as privacy, recordkeeping, and arbitration. Firms use it to align licensing, regulatory reporting, and internal supervision requirements with the employee’s role.

Why firms use an Employee IAR Agreement

Use an Employee IAR Agreement to document regulatory responsibilities, confirm licensure and registrations, and set clear compensation and supervisory terms. It reduces compliance risk by creating an auditable record of consent to firm policies and helps firms demonstrate adherence to securities regulations.

Why firms use an Employee IAR Agreement

Who completes or signs this agreement

Typical users include firms that employ licensed Investment Adviser Representatives, compliance teams, and HR departments managing onboarding and supervision.

  • Registered investment adviser firms overseeing IAR hiring, supervision, and state filings.
  • Investment Adviser Representatives signing for roles requiring state registration and firm supervision.
  • Compliance officers responsible for onboarding, continuing education tracking, and regulatory disclosures.

Use the agreement to centralize credentials, track obligations, and create a compliance record for audits and regulatory inquiries.

Core elements to include in the Employee IAR Agreement

Core sections of an Employee IAR Agreement clarify role scope, compliance duties, compensation, termination, supervisory arrangements, and confidentiality obligations to meet regulatory and firm standards.

Scope of Duties

Defines permitted advisory activities, product and service limits, client contact responsibilities, account types covered, and geographic or asset-class restrictions applicable to the IAR role and escalation procedures for exceptions.

Licensing & Registration

Records required state and SEC registrations, CRD/FINRA disclosures where applicable, license numbers, renewal dates, continuing education requirements, and the firm’s reporting responsibilities for regulatory filings.

Compensation

Specifies salary, commission splits, bonus eligibility, clawback provisions, expense reimbursement, payment timing, and how compensation interacts with client fees or advisory agreements, including deferred compensation and termination pay calculations.

Compliance Acknowledgment

Contains representations about compliance with firm policies, insider trading restrictions, code of ethics, disclosures of conflicts of interest, and consent to periodic supervision and compliance audits.

Confidentiality

Sets confidentiality obligations for client information, proprietary models, and trade secrets, plus permitted disclosures, return of materials on termination, post-termination non-disclosure periods, and security expectations for electronic records.

Termination & Transfer

Details termination for cause, resignation procedures, post-termination obligations, escrow or transition of client accounts, and steps for transferring client relationships to other advisers or the firm.

Common preparation mistakes to avoid

  • Failing to verify the IAR’s current state registration or SEC filing can create regulatory exposure and delay onboarding or client-facing activity.
  • Using inconsistent names across payroll, benefit, and registration records causes reporting errors and may trigger TIN or backup withholding problems with the IRS.
  • Neglecting to document supervisory sign-off and periodic compliance reviews weakens audit trails and increases the risk of enforcement findings during examinations.
  • Applying an image-based signature without recorded consent or robust authentication may be challenged in disputes; use audit trails and explicit consent for evidence.
