Employee Incentive Compensation Program

Program Overview

This Employee Incentive Compensation Program (the Program) establishes the terms under which eligible employees may earn incentive compensation based on the achievement of pre-established performance measures. Participation is subject to the terms herein. Nothing in this Program guarantees continued employment or alters the at-will nature of employment unless an authorized officer expressly states otherwise in a separate written agreement.

Performance Measures and Weightings

The incentive payout is based on the weighted achievement of the following measures. Performance objectives, metrics, and weightings are established each Program Year and communicated in writing by the Company.

Weighting for Objective 1:    Measurement Method:

Weighting for Objective 2:    Measurement Method:

Weighting for Objective 3:    Measurement Method:

Payout Calculation and Timing

Payouts are determined by applying actual achievement percentages against each objective weighting and the incentive target, subject to rounding and the Company's final certification of results. All payouts are subject to mandatory payroll tax and other required withholdings. The Company will make payouts within 90 days after the end of the measurement period unless otherwise stated in writing.

Pro-ration for partial service during the measurement period will be applied as follows: an employee who is not employed for the entire measurement period will have any earned incentive prorated based on the number of days in active employment during the measurement period divided by the total days in the measurement period.

Forfeiture, Clawback and Repayment

Incentive awards are subject to forfeiture if performance results are restated or found to be inaccurate. The Company reserves the right to recover any overpayment of incentive compensation from the participant, whether paid in cash or stock, consistent with law. Repayment obligations may be satisfied by reduction in future incentive payments, payroll deductions, or other lawful means.

Eligibility and Termination

Eligibility for participation is determined by the Company in its discretion. Employment termination for cause will result in forfeiture of any unpaid incentive. Termination without cause or resignation under circumstances approved in writing by the Company may be eligible for pro-rated payout at the Company's discretion as set forth above.

Confidentiality and Use of Information

Participants must maintain the confidentiality of incentive program details and any proprietary performance metrics. Unauthorized disclosure may result in disciplinary action up to and including termination and legal remedies.

Amendment and Termination of Program

The Company reserves the right to amend, suspend, or terminate the Program at any time. Except where prohibited by law, amendments may be applied prospectively. No amendment will give rise to any vested right to future incentive awards unless explicitly stated in a separate written agreement signed by an authorized Company officer.

Tax Withholding

All incentive compensation is subject to applicable tax withholdings and other statutory deductions. The Company may withhold an amount necessary to satisfy applicable withholding obligations and may require the participant to make arrangements for payment of any employment taxes or other amounts required by law.

Legal Disclosures

At-Will Employment: Participation in the Program does not alter the at-will nature of employment. Either the Company or the employee may terminate the employment relationship at any time, with or without cause or notice, unless a separate written agreement provides otherwise.

Equal Employment Opportunity: The Company provides equal employment opportunity to all employees and applicants without regard to protected characteristics. Incentive eligibility and awards are administered in accordance with Company policy and applicable law.

What the Employee Incentive Compensation Program Is

An Employee Incentive Compensation Program is a written plan that defines performance goals, measurement periods, payout formulas, eligibility rules, and administrative procedures for awarding variable pay to employees. The document formalizes how bonuses, commissions, stock awards, or other incentives are earned and paid, and it records conditions such as vesting, clawbacks, termination treatment, tax withholding, and dispute resolution. For organizations, a clear program reduces ambiguity, aligns employee behavior with business objectives, and establishes an audit trail for payroll and tax compliance.

Why a Formal Program Matters for Employers and Employees

A documented Employee Incentive Compensation Program clarifies expectations, supports consistent administration, and creates evidence needed for payroll, tax reporting, and internal controls. It also documents employer discretion, limits legal exposure, and provides employees transparent rules for earning variable pay.

Why a Formal Program Matters for Employers and Employees

Who Typically Prepares or Signs This Program

Signatures may include the authorized company officer and the employee; additional approvals (compensation committee, board) are common for executive plans.

  • HR and Compensation Teams — Draft plan terms, define eligibility and approvals, coordinate payroll setup.
  • Finance and Payroll — Validate payout formulas, ensure tax withholding and reporting processes are ready.
  • Legal Counsel / Compliance — Review language for employment, securities, tax, and state law consequences.

Core Elements to Include in a Professional Program

A complete Employee Incentive Compensation Program contains definitional sections, eligibility rules, performance metrics, payout mechanics, payment timing and tax treatment, and governance procedures for amendments and disputes.

Definitions

Clear definitions for terms such as ‘Eligible Employee’, ‘Performance Period’, ‘Target Award’, and ‘Good Reason’ reduce ambiguity in interpretation and enforcement.

Eligibility

Specify who qualifies (job levels, hire date cutoffs, employment status), pro rata rules for mid-period hires, and excluded worker categories like contractors.

Performance Metrics

List measurable targets (revenue, margin, KPIs), measurement methods, and data sources that determine awards to prevent disputes.

Payout Formula

Detail how awards are calculated (target %, commission rate, payout caps, accelerators), rounding rules, and minimum thresholds for payment.

Payment and Taxes

State timing (payroll or separate check), withholding rules, gross-up policies, and whether payments are subject to benefit deductions or retirement plan inclusion.

Administration

Assign plan administrator, amendment procedures, dispute resolution, clawback policies, and recordkeeping responsibilities.

Stepwise Process to Prepare and Issue the Program

Follow a defined sequence from drafting to distribution so approvals, payroll setup, and acknowledgements are completed before payments are processed.

  • 01
Draft: Create initial plan language with definitions and calculations, and attach examples.
  • 02
Review: Legal and finance validate compliance, tax treatment, and internal controls.
  • 03
Approve: Obtain required signoffs (HR head, CFO, compensation committee) and record approvals in governance logs.
  • 04
Distribute: Deliver the plan to eligible employees, obtain signed acknowledgements, and configure payroll rules.

Configuring the Digital Workflow for Online Completion

Set up electronic fields, recipient order, and authentication before sending the program for signatures to ensure a defensible audit trail.

Field Configuration
Signature Field Place a signature and date for employee and authorized officer; require both signatures.
Conditional Fields Show payout examples only when a specific role is selected to reduce signer confusion.
Authentication Use email confirmation plus SMS code or company SSO for higher-value awards.
Audit Trail Enable timestamp, IP, and event log retention for compliance and payroll auditability.

Where to Send, File, and Record the Signed Program

After signature, route copies to payroll, HRIS, the plan administrator, and the employee to ensure consistent records and processing triggers.

  • Employee Copy: Send a fully executed PDF to the employee for their records and tax purposes.
  • Payroll and Finance: Provide a copy and summary for payroll setup and withholding instructions.
  • HRIS / Personnel File: Store a signed copy in the employee's personnel record according to retention policy.
  • Governance Archive: Retain the master signed plan and approval logs with minutes or board resolutions if applicable.

Digital Signing, Authentication and Integration Considerations

Confirm the chosen platform supports required compliance frameworks and can export signed documents into your records management system.

  • Authentication: Email + SMS or enterprise SSO for higher assurance and traceability.
  • Integrations: Link with HRIS, payroll, or NetSuite to automate awards and tax reporting.
  • Audit and Storage: Ensure the platform stores a tamper-evident PDF and a complete event audit trail.

Typical Timing and Payroll Deadlines to Track

Timely administration is critical to avoid missed payments, incorrect tax treatment, or reporting errors; coordinate plan dates with payroll cycles and tax year boundaries.

Effective Date:

Align with payroll cutoffs to determine tax year assignment and withholding.

Payment Schedule:

Specify regular payout dates (monthly/quarterly/annual) and final payout timing on termination.

Acknowledgement Deadline:

Set a deadline for employee signature to enforce plan terms before payout.

Reporting:

Provide payroll with signed data at least one pay cycle before the scheduled payout.

Tax Year Cutoff:

Confirm whether the payment is taxable in the current year or requires accrual for the next tax year.

Common Mistakes When Preparing an Incentive Program

  • Vague metric definitions that create disputes and inconsistent payouts across teams.
  • Failure to coordinate with payroll causing incorrect withholding or delayed payments.
  • Missing amendment or approval records that weaken enforcement or audit defensibility.
  • Not specifying termination or change-of-control treatment, creating legal risk at departure.

Key Risks and Consequences of Errors

Tax Reporting Errors: Incorrect 1099/W-2 reporting can trigger penalties under IRC §6721.
Withholding Mistakes: Improper withholding may expose the company to payroll tax liabilities and interest.
Employee Claims: Ambiguous terms can lead to breach-of-contract or wage claims in state court.
Clawback Failure: Not enforcing clawbacks for faulty awards can increase financial exposure and audit risk.
Recordkeeping Gaps: Insufficient retention harms defenses in audits and litigation (IRS, SEC inquiries).
Data Privacy: Improper handling of employee data may violate HIPAA or state privacy rules when health data is implicated.

Essential Data Elements and Security Considerations

Employee Identity: Full legal name and employee ID
Role/Title: Job title and eligibility classification
Performance Period: Start and end dates in MM/DD/YYYY format
Payout Formula: Exact calculation and example
Tax Treatment: Withholding instructions and reporting method
Audit Trail: Signed PDF, timestamps, and event logs

Who Signs and What Authority Is Required

Authorized Officer

Chief HR officer or CFO typically signs to bind the employer. Their signature documents corporate approval and demonstrates internal authorization for plan terms, tax treatment, and administrative procedures.

Employee Signatory

Affected employee signs to acknowledge understanding and acceptance of program terms. Employee signature creates evidence of consent, supports enforcement, and clarifies the employee’s obligations and conditions for payout.
