Agreement Recitals and Definitions

This Employee Indemnification Agreement (the Agreement) is entered into between the Company named above (Company) and the Employee named above (Employee). Effective as of , (Effective Date).

For purposes of this Agreement: (a) "Indemnified Claims" means any threatened, pending or completed claim, action, suit, arbitration, investigation, proceeding or demand, including appeals, asserted against the Employee by reason of acts or omissions performed or omitted in good faith within the scope of Employee's duties for the Company; (b) "Losses" means judgments, settlements, fines, penalties, costs and expenses (including reasonable attorneys' fees and court costs).

Indemnification

Subject to the terms and limitations of this Agreement, the Company agrees to indemnify and hold harmless the Employee from and against any and all Indemnified Claims and Losses arising out of or relating to acts or omissions by the Employee in the performance of Employee's duties for the Company, provided such acts or omissions were taken in good faith and within the scope of Employee's authority.

Advancement of Expenses

The Company shall, upon the Employee's written request, advance reasonable attorneys' fees and related expenses incurred in the defense of any Indemnified Claim, subject to the Employee providing a written undertaking to repay such amounts if it is ultimately determined by final judicial decision that the Employee is not entitled to indemnification under this Agreement. Advances shall be made promptly, but in no event later than thirty (30) days following receipt of a written request and reasonably detailed supporting documentation.

Exclusions and Limitations

The Company shall not be obligated to indemnify the Employee for any Losses to the extent such Losses result from: (a) the Employee's willful misconduct, gross negligence, or knowing violation of law as finally determined by a court of competent jurisdiction; (b) criminal acts for which the Employee is convicted; or (c) acts giving rise to personal profit to which the Employee is not entitled.

The Employee shall promptly notify the Company in writing of any Indemnified Claim. The Company shall have the right to assume the defense of such Indemnified Claim with counsel of its choice; provided, however, that if the defense of the claim would create a conflict of interest, the Employee may retain separate counsel at the Company's expense. Cooperation and Mitigation

The Employee agrees to cooperate fully with the Company in the defense of any Indemnified Claim and to provide such information and assistance as reasonably requested. The Employee shall take commercially reasonable steps to mitigate any Losses.

Insurance and Remedies

The availability of insurance does not limit the Company's indemnification obligations. The Employee's remedies for breach of this Agreement shall include injunctive relief and recovery of costs and fees as allowed by law.

Duration; Survival

This Agreement shall become effective as of the Effective Date and shall continue with respect to claims arising from acts or omissions occurring during the Employee's period of employment and shall survive the termination of the Employee's employment with respect to any Indemnified Claim arising from such period.

Miscellaneous Provisions

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of law principles.

Amendment and Waiver: No amendment, modification or waiver of this Agreement shall be effective unless in a writing signed by both parties. A waiver of any breach shall not constitute a waiver of any other breach.

What an Employee Indemnification Agreement Covers

An Employee Indemnification Agreement is a contract where an employer agrees to defend and hold an employee harmless for liabilities, expenses, or claims that arise from the employee performing duties for the employer. Typical coverage includes legal defense costs, settlements, and judgments tied to acts within the scope of employment, subject to limitations, exclusions, and required cooperation from the employee.

Why this agreement matters and its legal basis

Indemnification clarifies risk allocation between employer and employee and reduces personal exposure. Electronic execution is generally enforceable under the ESIGN Act (15 U.S.C. ch. 96) and UETA where adopted, though certain exceptions may apply.

Why this agreement matters and its legal basis

Who typically prepares and signs these agreements

Employers, in-house counsel, HR teams, and executives commonly prepare indemnification agreements to define defense and payment obligations.

  • Employers and HR: Draft and approve indemnity language and funding source, coordinate signatures.
  • In-house or outside counsel: Review scope, carve-outs, indemnity caps, and defense control provisions.
  • Senior employees: Sign to acknowledge covered acts, cooperation duties, and limitations on reimbursement.

Employees receiving indemnity include directors, officers, managers, and other staff exposed to litigation or regulatory risk when acting on behalf of the company.

Core provisions to include in a professional agreement

A clear, enforceable indemnification agreement uses precise definitions, scope limits, notice and defense procedures, and terms for indemnity payments and cooperation.

Definitions

Define 'Claims', 'Losses', 'Defense Costs', 'Covered Acts', and the parties to avoid ambiguity during disputes.

Scope

Specify covered acts (e.g., acts within scope of employment), timeframes, and exclusions such as fraud, willful misconduct, or criminal acts.

Notice & Defense

Set required notice periods, who controls defense, counsel selection rights, and whether settlement requires consent.

Payment Terms

Describe how defense costs are advanced, reimbursement obligations, caps, and whether insurer or company funds are primary.

Cooperation

Require the employee to cooperate in defense, provide documents, and appear for depositions, subject to reasonable employer support.

Survival & Term

State how long indemnity survives termination and any conditions for revocation or amendment.

Step-by-step: completing an Employee Indemnification Agreement

Follow these steps in sequence to prepare, review, and execute a clear indemnification agreement.

  • 01
Draft: Populate template fields with party names and scope.
  • 02
Legal Review: Have counsel confirm enforceability and compliance.
  • 03
Sign: Execute via wet signature or compliant eSignature.
  • 04
Store: Save executed copies in secure records with retention rules.

Where to send or file the executed agreement

Determine the distribution and record location before signing so each party knows where to send notices and keep copies.

  • Employer Records: Retain an executed original in HR or legal physical/electronic files.
  • Employee Copy: Provide an executed copy to the employee for personal records.
  • Insurance File: Send a copy to the company insurer if coverage might respond to claims.
  • Counsel File: Keep counsel's copy with related litigation or compliance files.

Configuring an online signing workflow

Configure authentication, signer order, and retention rules when using an eSignature platform for execution.

Field Configuration
Authentication Email link or SMS OTP; choose stronger KBA for higher risk
Signer Order Set employer signature then employee signature sequence
Retention Settings Enable permanent copy storage and audit trail retention
Notifications Enable signing reminders and completion receipts for all parties

Digital signing and platform considerations

Choose a platform that supports ESIGN/UETA compliance, an audit trail, and secure storage for legal documents.

  • Authentication: Email, SMS, KBA options available
  • Audit Trail: Captures timestamps and signer metadata
  • Integrations: Connects with HR and document storage systems

Security and compliance elements to verify

Encryption: TLS 1.2/1.3 and AES-256 at rest
Audit Trail: Detailed timestamps and signer attribution
Certifications: SOC 2 Type II, ISO 27001 compliant
Healthcare BAA: HIPAA BAA available if required
21 CFR Support: Support for 21 CFR Part 11 where applicable
Access Controls: Role-based permissions and SSO options

Common mistakes to avoid when preparing the agreement

  • Using vague scope language that leaves open whether actions are within the scope of employment.
  • Failing to specify notice periods or procedures for presenting claims and seeking defense.
  • Allowing unilateral defense control without outlining settlement approval or oversight terms.
  • Neglecting to confirm whether electronic signatures meet ESIGN/UETA requirements for the parties involved.

Risks and legal consequences of an incorrect agreement

Unenforceable Terms: Court may refuse to enforce overly broad or illegal indemnities
Coverage Gaps: Employee may bear costs not clearly assigned
Insurance Issues: Insurer might deny coverage for improperly disclosed indemnities
Regulatory Risk: Potential regulatory scrutiny in some regulated industries
Contract Disputes: Litigation over notice or defense control provisions
Reputational Harm: Public disputes can damage employer and employee reputations

Typical timing and deadlines built into these agreements

Contracts commonly set deadlines for notices, defense control, cooperation, and survival of indemnity obligations.

Effective Date:

The date the indemnity becomes operative; enter as MM/DD/YYYY.

Claim Notice:

Require written notice within 30 days of learning of a claim to preserve indemnity rights.

Defense Assumption:

Employer may assume defense within a set period, often 10–14 days after notice.

Cooperation Deadline:

Employee should respond to requests promptly; no more than 14 days for initial cooperation.

Survival Clause:

Indemnity commonly survives termination for a stated period, e.g., 3–7 years.
