Indemnity — Scope and Obligations

Employee covenants and agrees to indemnify, defend and hold harmless Employer, its officers, directors, agents and employees (collectively, "Indemnitees") from and against all claims, demands, losses, liabilities, damages, fines, penalties, costs and expenses (including reasonable attorneys' fees and costs of investigation and litigation) (collectively, "Losses") arising out of or resulting from:

  1. Any breach by Employee of any material term of this Agreement, including breach of confidentiality, proprietary information, or restrictive covenants;
  2. Employee's willful misconduct, gross negligence, fraud, or unlawful acts in the course of performing duties for Employer;
  3. Any negligent or intentional infringement by Employee of third-party intellectual property rights or of third-party privacy or data protection laws caused by Employee's acts or omissions;
  4. Claims arising from representations or statements made by Employee outside the scope of Employee's employment authority that subject Employer to liability.

Notwithstanding the foregoing, Employee shall not be required to indemnify Indemnitees for Losses to the extent such Losses are finally adjudicated to have resulted from Employer's own gross negligence or willful misconduct.

Defense; Settlement; Cooperation

Upon receipt of notice of any claim for which indemnification may be sought, the Indemnitee shall promptly notify Employee in writing. Employee shall have the right to assume and control the defense and settlement of any such claim with counsel of Employee's choice reasonably acceptable to Indemnitee. Indemnitee may, at its election and expense, participate in the defense with counsel of its own choosing. Employee shall not settle any claim that admits fault of Indemnitee or imposes obligations on Indemnitee without Indemnitee's prior written consent, which shall not be unreasonably withheld. Employee shall cooperate fully in the defense and provide all information reasonably requested.

Insurance and Reimbursement

Employee shall maintain, to the extent commercially reasonable and where applicable, insurance coverage appropriate to the Employee's duties and potential liabilities. Employee shall promptly reimburse Employer for any Losses paid by Employer that are reimbursable under this Agreement, including reasonable attorneys' fees, within thirty (30) days after written demand and documentation of such Losses.

Mitigation; Limitations; Survival

Each Party shall use commercially reasonable efforts to mitigate any Losses for which indemnity is sought. The obligations of indemnification under this Agreement shall survive termination of Employee's employment and shall remain enforceable until all potential claims related to Employee's acts or omissions are barred by applicable statutes of limitation.

Representations; At-Will; Equal Opportunity

Employee represents and warrants that all information provided in this Agreement and in any employment application or related documents is true, complete and correct to the best of Employee's knowledge. Employee acknowledges that employment is at-will and may be terminated by either Party at any time, with or without cause, unless a separate, written employment agreement states otherwise. Employer is an equal opportunity employer and makes employment decisions without regard to protected characteristics.

Authorization to Verify and Contact

Employee authorizes Employer and its agents to conduct background checks, verify employment and education history, and contact the references and prior employers provided. Employee further authorizes prior employers and references to provide truthful information to Employer. This authorization is a condition of employment and is effective as of the Effective Date entered above.

Applicant Certification

I certify that all information provided in this Agreement and related documents is true and complete. I understand that any material misrepresentation or omission may result in disciplinary action, up to and including termination. I further certify that I have read and understand the indemnity provisions set forth above and agree to be bound by their terms.

General Provisions

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction where Employer's principal place of business is located, without regard to conflict of law principles. Venue for disputes shall be in the courts of that jurisdiction. The prevailing Party in any action to enforce this Agreement shall be entitled to recover reasonable attorneys' fees and costs. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. No waiver of any breach shall be effective unless in writing signed by the waiving Party.

Entire Agreement: This Agreement constitutes the entire agreement between the Parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, representations and understandings, whether written or oral. This Agreement may be amended only by a written instrument signed by both Parties.

Acknowledgement of Receipt

Employee acknowledges receipt of a copy of this Agreement and that Employee has been afforded a reasonable opportunity to review it and seek independent counsel prior to signing.

What an Employee Indemnity Agreement Is and When It Applies

An Employee Indemnity Agreement is a contract in which an employee or former employee agrees to indemnify and hold harmless an employer for specified losses, liabilities, or legal costs arising from the employee’s acts or omissions. Typical provisions define the scope of indemnity, the events that trigger reimbursement, responsibilities for defense and settlement, and any caps or exclusions. These agreements are used alongside employment contracts, separation agreements, or contractor arrangements to allocate financial responsibility for claims, regulatory fines, or third-party litigation.

Why Employers and Employees Use This Agreement

The Employee Indemnity Agreement clarifies financial responsibility for legal claims, helps manage litigation risk, and preserves corporate resources by assigning indemnity and defense obligations. Clear terms reduce disputes and support consistent handling of third-party claims while documenting the parties’ intent and limits of liability.

Why Employers and Employees Use This Agreement

Who Typically Prepares or Signs an Employee Indemnity Agreement

Common signers span employers, individual employees, and their legal representatives depending on role and exposure.

  • Employers and HR teams who require contractual protection for company liabilities and third-party claims.
  • Employees or contractors whose duties carry indemnity exposure, including senior managers or agents.
  • Corporate counsel or outside attorneys who negotiate, review, and advise on indemnity scope and defenses.

Identifying the correct signers at execution reduces later disputes about authority and enforceability.

Essential Parts of a Professional Employee Indemnity Agreement

A well-drafted indemnity agreement separates core legal elements: scope, triggering events, defense procedures, limitations, notice rules, and interplay with insurance. Clear, consistent language reduces ambiguity and improves enforceability across jurisdictions.

Indemnity Scope

Precisely describe covered losses and the events that trigger indemnity, including third‑party claims and regulatory fines, to avoid overbroad or unclear obligations.

Defense and Control

Specify whether the indemnitor controls defense, how counsel is selected, and the right of the indemnitee to participate and approve settlements to manage conflicts.

Exclusions and Limits

List exclusions (e.g., gross negligence, willful misconduct) and monetary caps or baskets to balance protection with reasonable employer expectations.

Notice Requirements

Include deadlines and procedures for giving written notice of a claim and the consequences of late or omitted notice on indemnity rights.

Insurance Interaction

Clarify how indemnity interacts with insurance proceeds, duty to seek coverage, and cooperation obligations for claims-handling.

Duration and Survival

State whether indemnity survives termination and for how long, and whether obligations extend to successors, affiliates, or estates.

Stepwise Process to Complete an Employee Indemnity Agreement

Follow a clear sequence to prepare, review, and execute the document to preserve evidence and consent.

  • 01
Draft Terms: Define scope, defenses, limits, and notice procedures before circulating the draft.
  • 02
Legal Review: Have counsel confirm enforceability and any industry-specific compliance needs.
  • 03
Execute Signatures: Collect signatures from all parties using agreed signing methods and dates.
  • 04
Distribute Copies: Provide fully executed copies to each party and retain originals for recordkeeping.

How Electronic Execution and Routing Works for This Agreement

Electronic workflows streamline execution and preserve an audit trail; follow these stages for reliable eExecution.

  • Upload Document: Add the finalized agreement to the signing platform in PDF or DOCX format.
  • Place Fields: Insert signature, date, and initial fields and any conditional inputs for optional clauses.
  • Assign Signers: Provide signer emails and set signing order if sequential approvals are required.
  • Complete Signing: Signers authenticate, sign, and receive completed copies with an audit trail.

Common Online Workflow Settings for Electronic Execution

Configure these options when setting up the digital signing process to match security and business requirements.

Field Configuration
Authentication Use email link, SMS code, or stronger multi-factor authentication where required.
Conditional Fields Show or hide clauses based on checkbox selections to keep the form concise.
Audit Trail Enable full audit logging for timestamp, IP, and signer actions.
Template Use Save as a template for repeated use in separation or contractor workflows.

Technical Considerations for eSigning and Storage

Confirm platform security, file format compatibility, and available signer authentication methods before eSigning.

  • File Formats: PDF and DOCX supported
  • Integrations: Salesforce, NetSuite, Google Workspace
  • Authentication: Email, SMS, or SSO options

Security and Compliance Considerations

Encryption: TLS 1.2/1.3 in transit; AES-256 at rest
Audit Trail: Timestamped event log for each signer
ESIGN/UETA: Compliant with U.S. e-signature laws
HIPAA (if needed): BAA available for protected health information
21 CFR Part 11: Supported for regulated workflows
Certifications: SOC 2 Type II and ISO 27001

Key Risks and Consequences of an Incorrect Agreement

Unenforceable Terms: Overly vague or unconscionable clauses may be invalidated
Excess Liability: Broad indemnity without caps can expose employees or company to large losses
Coverage Gaps: Mismatch with insurance may leave claims uninsured
Late Notice: Failure to provide timely claim notice can bar indemnity
Signature Defects: Incorrect or missing signatures can invalidate execution
Regulatory Penalties: Noncompliance can trigger fines or enforcement actions

Common Drafting and Execution Mistakes to Avoid

  • Using indefinite phrases like 'all losses' without defining scope invites litigation and differing interpretations.
  • Failing to state whether the indemnitor controls the defense leads to disputes over settlement decisions and costs.
  • Not aligning indemnity with available insurance can produce uncovered losses and surprise expenses.
  • Skipping a clear notice period and delivery method for claims undermines the indemnitor’s ability to respond promptly.

Key Timing Items to Specify in the Agreement

Set explicit deadlines and timelines for notice, claims handling, and survival to avoid procedural defenses to indemnity claims.

Effective Date:

Specify MM/DD/YYYY when obligations begin

Execution Date:

Record the date each party signs the agreement

Notice of Claim:

Require written notice within a stated period, commonly 30–90 days

Defense Election:

State when the indemnitor must assume defense and any cure period

Survival Period:

Indicate how long indemnity survives termination (e.g., 3 years)
