For purposes of this Agreement, "Inventions" means any discoveries, developments, improvements, processes, software, designs, formulas, techniques, data, know-how, and other works of authorship, whether or not patentable or copyrightable, conceived, reduced to practice, or made by Employee, either alone or with others, during the term of employment that relate to Employer's actual or demonstrably anticipated business, research, or development, or that result from tasks assigned to Employee.

"Confidential Information" means proprietary and nonpublic information disclosed or made available to Employee by or on behalf of Employer, including but not limited to trade secrets, customer lists, technical data, product plans, marketing strategies, pricing, and business forecasts.

Assignment of Inventions

Employee agrees to promptly disclose to Employer in writing all Inventions made or conceived during the period of employment. Employee hereby assigns and agrees to assign to Employer all right, title, and interest in and to such Inventions and any patents, copyrights, trade secret rights, or other intellectual property rights therein. Employee agrees that any Invention created within the scope of Employee's duties or through the use of Employer's time, facilities, materials, or Confidential Information is a "work made for hire" and the exclusive property of Employer to the maximum extent permitted by law.

Employee hereby discloses the following inventions, if any, that were made prior to the commencement of employment and that Employee believes should be excluded from this Agreement. If none, check the box labeled "No prior inventions."

No prior inventions to disclose.

Confidentiality; Non-Disclosure

Employee shall hold in strict confidence and not disclose or use, during or after employment, any Confidential Information except as necessary to perform Employee's duties for Employer or as required by law. Employee shall take all reasonable steps to safeguard Confidential Information and shall not remove Confidential Information from Employer's premises without prior authorization.

Cooperation and Assistance

Employee agrees to assist Employer, both during and after employment, in securing, obtaining, or enforcing patents, copyrights, or other protections for Inventions. This assistance includes executing documents, giving testimony, and providing reasonable cooperation in proceedings, all at Employer's expense for reasonable out-of-pocket costs.

Representations and Warranties

Employee represents that Employee has the right to enter into this Agreement, that Employee's performance of this Agreement will not breach any other agreement, and that to the best of Employee's knowledge the Prior Inventions listed above are accurate and complete. Employee will not incorporate any third-party proprietary information or code into Employer's products without proper authorization.

Remedies; Injunctive Relief

Employee acknowledges that a breach of this Agreement may cause Employer irreparable harm for which monetary damages would be inadequate. Employer shall be entitled to seek injunctive relief and any other remedies available at law or in equity in the event of a breach or threatened breach of this Agreement, in addition to any other rights and remedies.

Survival; Termination

The obligations under this Agreement shall survive termination of Employee's employment for any reason. Termination of employment shall not relieve Employee of obligations relating to Inventions or Confidential Information disclosed during employment.

Governing Law; Severability; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction specified by Employer and shall be enforceable to the fullest extent permitted by law. If any provision is held invalid, the remaining provisions shall remain in full force and effect. This Agreement constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior agreements and understandings, whether written or oral.

What the Employee IP Protection Agreement Is

An Employee IP Protection Agreement is a written contract that clarifies ownership and handling of intellectual property created by an employee during the course of employment. It typically includes invention assignment, confidentiality obligations, obligations to disclose inventions, and cooperation on filings. The agreement defines the scope of work-for-hire, any retained rights, and post‑termination obligations so both employer and employee understand who owns copyrights, patents, trade secrets, and related derivatives.

Why a Clear IP Agreement Matters to Employers and Employees

A clear Employee IP Protection Agreement reduces ownership disputes, preserves patent and copyright rights, and secures trade secrets. It sets expectations for disclosure, assigns rights where appropriate, and simplifies later licensing or enforcement actions while protecting both parties’ legal interests.

Why a Clear IP Agreement Matters to Employers and Employees

Who Typically Prepares and Signs These Agreements

Human resources, in-house counsel, and hiring managers commonly prepare or request these agreements during onboarding.

  • HR managers and talent teams who need consistent onboarding documents for new hires and contractors.
  • General counsel and outside counsel who review scope, assignment language, and enforceability considerations.
  • Engineering managers and founders who must protect product-related inventions and trade secrets.

Who Has Authority to Sign

Company Signatory — General Counsel

A senior officer or delegated attorney-in-fact usually signs for the employer. That signer should have written authority to bind the legal entity and confirm the agreement’s legal terms on behalf of the company.

Employee Signer — Individual

The employee signs in their individual capacity. If the employee is a contractor, the agreement should identify the contracting legal entity and include a representative with authority to sign for that entity, if applicable.

Essential Information to Include in the Agreement

Employee Legal Name: Full name as on government ID
Employer Entity: Full legal business name
Effective Date: MM/DD/YYYY format
Scope of Work: Job title and duties
Invention Disclosure: Process and deadline
Signature Block: Signer name, title, date

Consequences of a Flawed or Missing Agreement

Ownership Dispute: Litigation risk
Lost Patent Rights: Delayed filings harm novelty
Trade Secret Exposure: Loss of protection
Contract Unenforceability: Overbroad clauses struck
Employment Claims: Retaliation or wage disputes
Injunction Risk: Emergency court relief

Common Preparation Mistakes to Avoid

  • Using vague assignment language that fails to specifically transfer future inventions and derivatives, inviting later disputes.
  • Neglecting to list or carve out preexisting inventions, which can render assignments overbroad or unenforceable.
  • Failing to require timely invention disclosures and cooperation on patent filings, which can jeopardize novelty and priority.
  • Relying on a one-size-fits-all clause for employees, contractors, and consultants without role-specific modifications or separate contractor agreements.

Practical Examples: How Organizations Use Employee IP Protection Agreements

Two typical scenarios show how purpose-built IP agreements prevent disputes and support commercialization.

Startup Invention Assignment

A founder hires engineers and requires assignment of inventions created during employment.

  • The company adds a narrow product-based carve-out for open-source contributions.
  • Clear assignment and a short disclosure deadline enabled timely provisional patent filings and streamlined investor diligence without later ownership disputes.

University Researcher Transition

A researcher joins a private firm and brings sponsored-research inventions.

  • The agreement requires disclosure of preexisting university work.
  • The employer and researcher negotiated a license carve-out to respect prior obligations while securing company ownership of new work-for-hire inventions.

Step-by-Step: Completing the Agreement

Follow these steps to prepare, review, and execute a compliant Employee IP Protection Agreement.

  • 01
Prepare Draft: Complete names, scope, and effective date.
  • 02
Identify Preexisting IP: Attach inventor’s list of prior inventions.
  • 03
Review Terms: Legal counsel confirms enforceability.
  • 04
Execute: Both parties sign and date the agreement.

How Electronic Execution and Routing Typically Works

Electronic workflows speed execution while preserving evidence of intent and attribution for each signer.

  • Upload Document: Add PDF or DOCX to the eSignature platform.
  • Place Fields: Insert signature, date, and initial fields.
  • Set Authentication: Choose email, SMS, or stronger verification.
  • Capture Audit Trail: System logs timestamps, IPs, and actions.

Core Clauses Found in a Professional Employee IP Protection Agreement

A robust agreement contains specific clauses that together assign rights, set expectations for disclosure, and define remedies and cooperation obligations.

Assignment Clause

Clear present assignment of all inventions created within employment scope, including future inventions and derivatives, to prevent ambiguity about ownership and transfer rights.

Confidentiality

Nondisclosure obligations that protect trade secrets and confidential information, with defined exceptions for public domain and prior knowledge disclosures.

Invention Disclosure

Procedures and deadlines for notifying the employer of inventions, enabling timely evaluation and patent filing decisions where necessary.

Work-for-Hire Language

Where applicable, language confirming that certain creative works are treated as work-for-hire under copyright law and assigned to the employer.

Preexisting IP

List or schedule for preexisting inventions and retained rights to avoid inadvertent assignment of prior work.

Cooperation and Enforcement

Employee obligations to assist with patent prosecution, sign documents, and provide testimony as needed, plus remedies for breach including injunctive relief.

Customizing the Online Workflow for Execution

Configure the eSign workflow to match your compliance and operational needs before sending the agreement for signature.

Field Configuration
Authentication Level Email, SMS code, or ID verification
Required Fields Signature, date, and disclosure checkbox
Conditional Logic Show additional fields for contractors

Technical Considerations for Electronic Signing

Choose a platform that supports the document formats, signer authentication, and audit trail you need.

  • File Formats: PDF and DOCX supported
  • Integrations: Connects to HR and storage systems
  • Authentication: Email, SMS, or advanced KBA
