What the Employee Keeper Contract Is and When to Use It

An Employee Keeper Contract is a written agreement used by employers to define terms that retain key employees — for example, extended employment commitments, retention bonuses, restrictive covenants, or role-specific obligations. It typically sets the effective date, term, compensation or consideration, confidentiality and IP assignments, conditions for bonus or vesting, and termination provisions. Organizations use this form to reduce turnover risk, protect proprietary information, and document mutual obligations. The contract may be executed electronically where permitted by U.S. law and subject to applicable consumer-disclosure rules for certain protected categories.

Why an Employee Keeper Contract Matters for Employers and Employees

A clear Employee Keeper Contract aligns expectations, secures key staff with defined incentives, and documents enforceable obligations such as confidentiality and IP assignment under controlling state law and federal electronic signature statutes.

Why an Employee Keeper Contract Matters for Employers and Employees

Who Typically Prepares and Signs an Employee Keeper Contract

Employers, HR teams, in-house counsel, and hiring managers commonly prepare Employee Keeper Contracts to protect business interests and document retention incentives.

  • HR and People Ops teams creating standardized retention agreements for high-value employees and managers.
  • General counsel or outside employment counsel reviewing enforceability of restrictive covenants and IP assignment clauses.
  • Senior employees or executives who receive retention bonuses, equity vesting, or special role protections under the agreement.

Final signatures can come from authorized company officers and the employee; when unclear, confirm signing authority in the approval workflow to avoid disputes.

Core Sections to Include in a Professional Employee Keeper Contract

A complete Employee Keeper Contract groups essential terms so both parties understand obligations and remedies. Include clear, measurable provisions to reduce ambiguity and support enforceability.

Parties

Identify the employer entity and the employee using full legal names and legal entity types; include contact addresses and a primary business address for notices.

Term & Effective Date

Specify the contract start date and the retention period or conditions that end the agreement, including automatic renewal or extension mechanics.

Compensation

Describe retention bonuses, vesting schedules, salary adjustments, or equity grants with clear payment dates and forfeiture conditions.

Confidentiality & IP

Detail confidentiality obligations, IP assignment language, and definitions of proprietary information to protect trade secrets and work product.

Restrictive Covenants

If used, state noncompetition, nonsolicitation, and nonpoaching terms, geographic and temporal limits, and severability clauses to increase enforceability.

Termination & Remedies

Explain grounds for termination, repayment or clawback triggers, dispute resolution method (arbitration or court), and choice of governing law.

Ensure the selected eSignature platform supports audit trails, secure storage, conditional fields, and the export formats your legal and payroll teams require.

Where to Send and File the Completed Contract

After execution, route copies to the parties and internal systems to maintain records and trigger payroll or equity processes.

  • Employee Copy: Send signed PDF to the employee for their records.
  • HR Record: Store executed contract in the employee’s HRIS or personnel file.
  • Payroll/Equity: Notify payroll and equity administrators to apply terms.
  • Legal Archive: Retain master signed copy in a secure, access-controlled repository.

Key Deadlines and Timing to Watch

Certain federal and administrative timelines affect related forms, tax reporting, and retention obligations tied to the contract.

  • Failing to document approval authority for the employer signatory, which can invalidate a purportedly binding signature.
