What an Employee Non-Solicit Agreement Is and When It Applies

An Employee Non-Solicit Agreement is a contract between an employer and an employee that restricts the employee from soliciting the company's clients, customers, or other employees for a defined period after separation. These agreements typically define the prohibited activities, the geographic or customer scope, the duration, and the consideration provided. Enforceability depends on state law and the reasonableness of scope and duration; courts often weigh legitimate business interests such as protection of trade secrets or client relationships. Electronic execution is acceptable under federal ESIGN rules and most state UETA statutes when consent and retention requirements are met.

Why an Employee Non-Solicit Agreement Matters to Employers and Employees

Non-solicit agreements protect client relationships and human capital by limiting post-employment solicitation activities, providing predictable transition expectations for both parties while balancing employee mobility and legal enforceability.

Why an Employee Non-Solicit Agreement Matters to Employers and Employees

Who Typically Uses an Employee Non-Solicit Agreement

Employers and HR professionals commonly use non-solicit agreements as part of onboarding or separation processes to protect customer lists and staff stability.

  • Small and mid-size businesses protecting client relationships during turnover.
  • Sales and account-management teams where client contact is central to revenue.
  • Healthcare and professional services employers safeguarding patient or client lists.

Employees should review these agreements carefully, ideally with counsel, to understand restrictions, duration, and any compensation tied to the restriction.

Typical Signers and Reviewers

HR Manager

An HR Manager usually prepares and issues the agreement during hiring or exit processing. They confirm that the scope and duration align with company policy and coordinate signatures, retention, and routing to legal and payroll as needed.

Employee

The employee reviews obligations, negotiates terms if applicable, and signs to indicate consent. Employees should ensure names, dates, and role descriptions are accurate and retain a copy for future reference or potential disputes.

Common Preparation Mistakes to Avoid

  • Using overly broad geographic or temporal scope that courts find unreasonable and therefore unenforceable.

  • Neglecting to provide clear consideration or separate compensation tied to the restriction when required by state law.
  • Not tailoring the agreement to industry-specific rules or to the employee's role and access to confidential information.

Core Elements to Include in a Professional Employee Non-Solicit Agreement

A well-drafted agreement is clear, narrowly scoped, and tailored to legitimate business interests to increase the chance of enforcement in court.

Non-Solicit Clause

Define precisely which clients, customers, and employees are covered, what constitutes solicitation, and any permitted activities such as general advertising or passive inbound responses.

Duration and Scope

State a reasonable time period and geographic or account-based limits tied to the employer's legitimate business interest to reduce the risk of being invalidated as overly broad.

Consideration

Describe the consideration provided (employment, bonus, severance, or other benefit) that supports enforceability under state contract principles.

Definitions

Include clear definitions for terms such as 'solicit', 'customer', 'confidential information', and any excluded activities like public job searching.

Remedies

Specify injunctive relief, damages, and attorney fees where permitted, and explain how remedies will be sought in the event of breach.

Governing Law

Name the state law that will govern interpretation and enforcement, and address venue for dispute resolution and whether arbitration is required.
