What an Employee Noncompete Agreement Is and When It Applies

An Employee Noncompete Agreement is a contract between an employer and an employee that limits the employee's ability to work for competitors, solicit customers, or use proprietary information for a specified period and within a defined geographic area. These agreements typically describe restricted activities, the duration of restrictions, the geographic scope, and any compensation or consideration provided. Courts evaluate noncompetes for reasonableness, legitimate business interest protection, and adequate consideration; enforceability varies by state and by job role, with some states limiting or prohibiting noncompetes in many contexts.

Why Employers and Employees Use Noncompete Agreements

Noncompete agreements protect trade secrets, client relationships, and investments in employee training while clarifying post-employment restrictions for both parties. When properly drafted and reasonable in scope, a noncompete helps employers preserve goodwill and confidential information and gives employees clear notice of post-employment expectations.

Why Employers and Employees Use Noncompete Agreements

Who Typically Prepares and Signs Noncompete Agreements

Employers, HR departments, in-house counsel, and outside employment attorneys commonly prepare noncompete agreements to protect business interests.

  • Human resources teams and general counsel drafting enforceable clauses while ensuring compliance with local law.
  • Senior executives and employees with access to trade secrets who receive focused restrictive covenants.
  • Independent contractors or sales staff in some industries where client relationships are critical.

Employees, senior hires, and contractors who access confidential information are the most common signers; enforceability depends on role and jurisdiction.

Key Components to Include in a Professional Noncompete Agreement

A well-drafted noncompete combines clear definitions, lawful limits, and procedural safeguards to maximize enforceability and reduce litigation risk.

Definitions

Define terms such as 'Confidential Information', 'Competitor', and 'Customer' precisely so the scope of restricted conduct is unambiguous and objectively ascertainable.

Scope of Restriction

Specify prohibited activities (e.g., competing, soliciting customers, recruiting employees) and limit them to what is necessary to protect legitimate business interests.

Geographic Limits

State the geographic area plainly (e.g., specific states, counties, or a mile radius) and tie scope to where the employer actually conducts business.

Duration

Set a finite time frame for restrictions and justify length in relation to the employer's protectable interests and industry norms.

Consideration

Document the consideration provided—continued employment, a bonus, or other benefit—to demonstrate a bargained exchange supporting the restriction.

Remedies and Enforcement

Include remedies such as injunctive relief and venue selection, and clarify severability so courts can narrow overbroad provisions where permitted.

Security and Compliance Details for Handling Signed Agreements

Encryption in Transit: TLS 1.2/1.3
Encryption at Rest: AES-256
HIPAA: Compliant — BAA required
ESIGN / UETA: Compliant
SOC 2: SOC 2 Type II
21 CFR Part 11: Supported for regulated records

Risks and Consequences of a Poorly Drafted Noncompete

Unenforceability: Court may void covenant
Litigation Costs: Substantial attorney fees
Loss of Talent: Overbroad terms discourage hires
Employee Litigation: Risk of wage or public policy claims
Trade Secret Exposure: Insufficient protection risks loss
Reputational Harm: Aggressive enforcement may backfire

Common Drafting and Execution Mistakes to Avoid

  • Using vague language like 'all competitive activities' rather than specific prohibited actions increases the chance courts will refuse enforcement.
  • Failing to state consideration or offering inadequate consideration for existing employees can render a noncompete unenforceable in many jurisdictions.
  • Overly broad geographic scope that does not align with the employer's actual market presence often results in a court narrowing or invalidating the clause.
  • Not tailoring restrictions by role or seniority—using a one-size-fits-all clause—creates unnecessary litigation exposure and may discourage key hires.

How Electronic Signing Works for Noncompete Agreements

The online signing workflow mirrors traditional execution but captures audit data and supports stronger authentication options to establish intent and attribution.

  • Upload Document: Add the finalized agreement to the eSignature platform.
  • Place Fields: Insert signature, date, and initial fields where required.
  • Authenticate Signers: Choose email, SMS, or advanced verification methods.
  • Complete Signing: Signed copies and an audit trail are produced.

How to Configure a Digital Noncompete Workflow

Set workflow options to match your legal and HR processes—choose signer order, authentication strength, and retention policies that meet compliance needs.

Field Configuration
Signature Order Employer first, then employee
Authentication Level Email + SMS code or KBA for high-risk roles
Retention Policy Retain signed PDF + audit trail indefinitely
Expiration Set signing link expiry to 30 days

Technical Considerations for eSigning and Storage

Confirm platform capabilities and integrations before sending noncompete agreements for signature.

  • Integrations: Salesforce, NetSuite, Google Workspace
  • File Types: PDF and DOCX supported
  • Auth Options: Email, SMS, KBA

Typical Timing and Deadlines When Issuing Noncompetes

Plan timing to provide clear notice and, where required, sufficient consideration; timing affects enforceability and employee acceptance.

Before Start Date:

Providing the agreement before employment begins reduces ambiguity about consideration.

Review Period:

Allow reasonable time for employee review and counsel consultation where practical.

Effective Date:

Specify the effective date in MM/DD/YYYY format as it triggers obligations.

Revocation Window:

If the employer allows withdrawal, state the notice period for revocation clearly.

Record Retention:

Retain executed agreements per your retention policy and applicable regulations.

Practical Tips for Drafting and Managing Noncompete Agreements

Adopt these practices to improve enforceability, streamline execution, and reduce disputes.

Be Specific
Tailor restrictions to the employee's role and actual business interests; specificity reduces courts' inclination to void or rewrite clauses.
Document Consideration
Clearly state what the employee receives in exchange for the restriction—continued employment, payment, or other benefit—to support validity.
Use Reasonable Limits
Limit duration and geography to what is necessary; overly broad restrictions invite litigation and may be unenforceable.
