Employee shall promptly disclose such developments to Employer and execute necessary documents to confirm assignment.

Restrictive Covenants and Non-Solicitation

To the fullest extent permitted by applicable law, Employee agrees that for a period of following termination, Employee will not solicit Employer's clients or solicit current employees for employment with a competing business within the geographic area in which Employee provided services. Any such restriction shall be reasonable and enforceable to the extent permitted by law.

Termination

Employment is at-will and may be terminated by either party at any time, with or without cause or notice, unless otherwise expressly provided in a separate written agreement signed by an authorized representative of Employer. Nothing in this Agreement shall be construed to limit Employer's right to discipline or terminate Employee for cause.

Background Checks, Authorization and Certifications

By signing this Agreement, Employee authorizes Employer to verify information provided, contact prior employers and references, and obtain consumer reports or criminal background checks to the extent permitted by law. Employee understands that employment is conditioned upon satisfactory results of such checks where required by Employer's policies.

What an Employee Operating Agreement Is

An Employee Operating Agreement is a written contract that defines the roles, responsibilities, compensation, confidentiality, intellectual property ownership, dispute resolution, and termination procedures between an employer and an individual contributor or leadership-level employee. It typically supplements an offer letter and may include noncompete, non-solicitation, and invention assignment clauses specific to the role. The agreement clarifies operational expectations, reporting lines, and performance metrics, and sets the effective date and governing law to reduce ambiguity and legal risk in employment relationships. It can be signed electronically under ESIGN and UETA where permitted.

Why formalize terms with an Employee Operating Agreement

Use an Employee Operating Agreement to record mutual expectations, protect trade secrets and IP, and document compensation and exit terms. Clear written terms reduce litigation risk, support compliance with employment laws, and help align management and employee obligations from day one.

Why formalize terms with an Employee Operating Agreement

Who typically prepares and uses these agreements

Human resources, hiring managers, in-house counsel, and startup founders use Employee Operating Agreements to standardize role terms and manage legal risk.

  • HR teams managing onboarding, benefits, and performance expectations across multiple locations.
  • Founders formalizing executive duties, equity vesting, and confidentiality provisions for leadership hires.
  • In-house counsel preparing enforceable IP assignment and restrictive covenant language.

Use the agreement with offer letters and employee handbooks to ensure consistent application of terms across roles and locations.

Core sections to include in the Employee Operating Agreement

Core sections define parties, duties, compensation, IP and confidentiality, restrictive covenants, dispute resolution, term and termination, and governing law, and remedies for breach.

Parties

Identify the employer and employee legal names, employer EIN if applicable, and any affiliated entities covered. Specify whether the individual is an employee or independent contractor for tax and benefits purposes.

Duties

Describe role responsibilities, reporting lines, measurable performance metrics, and work location. Include any mobility or remote work expectations and required certifications or security clearances.

Compensation

State base salary, bonus structure, equity grants or vesting schedule, payment cadence, and reimbursement policies. Clarify tax withholding responsibilities and any relocation or signing payments.

IP & Confidentiality

Assign inventions and work product to the employer, define trade secret protections, and set confidentiality durations. Address permitted disclosures and required return of materials on termination.

Restrictive Covenants

If included, specify noncompete, non-solicit, or non-disclosure limits, geographic scope, duration, and remedies. Ensure enforceability under the governing state's case law.

Termination

Define termination for cause and without cause, notice requirements, severance terms, final pay timing, and post-termination obligations like return of property and ongoing confidentiality.

Common mistakes to avoid

  • Using vague restrictive covenants or overly broad noncompetes that exceed the state's enforceable duration or geographic scope, making them likely to be invalidated in litigation.
  • Failing to assign inventions clearly or to include preexisting invention carve-outs, which can create disputes over ownership of work product developed during employment.
  • Omitting explicit IP or confidentiality obligations when employees access sensitive systems, especially in HIPAA-regulated environments, increasing regulatory and breach notification risk.
  • Relying on handwritten or image-only signatures without an audit trail or authentication method that demonstrates intent, consent, attribution, and record retention under ESIGN.

Penalties and legal risks

Enforceability Risk: Overbroad covenants may be void in court.
Tax Misclassification: Independent contractor misclassification triggers IRS and DOL penalties.
I-9 Violations: Noncompliance exposes employers to penalties under 8 CFR §274a.2.
HIPAA Exposure: Improper handling of PHI can breach 45 CFR §164.530(j).
Breach Damages: Breach of confidentiality can result in monetary damages.
Invalid E-sign: Missing ESIGN consent or retention may reduce enforceability.
