What an Employee Option Gift document is and when it's used

An Employee Option Gift documents the transfer or grant of equity options from an employer or shareholder to an employee or service provider. It records the number and class of options, exercise price or strike, vesting schedule, grant or effective date, and any conditions or repurchase rights. Use this document when gifting options, supplementing a stock-plan grant, or documenting a private transfer of rights. Electronic execution is generally enforceable under federal ESIGN (15 U.S.C. ch. 96) and state UETA provisions when signature intent, consent, attribution and retention are met.

Why a clear, documented option gift matters

A formal Employee Option Gift creates an auditable record of the grant, clarifies tax and exercise treatment, and reduces later disputes about terms or timing.

Why a clear, documented option gift matters

Who typically prepares, approves, or receives an Employee Option Gift

Common participants include company founders, HR or compensation teams, legal counsel, and the option recipient.

  • HR or Compensation Team: Prepares the grant paperwork and coordinates approvals with payroll and equity administrators.
  • Legal or Corporate Counsel: Reviews vesting, repurchase rights, and tax implications; drafts governing language.
  • Employee / Recipient: Reviews acceptance terms and confirms personal details for recordkeeping and tax reporting.

Keep signatory roles and contact details current to avoid delays in acceptance, vesting administration, and tax reporting.

Field and Workflow Configuration Details Value or setting used to control field behavior and routing.

Conditional Field Logic Show vesting details only when option type requires additional terms.

Destination System Integration Auto-export signed PDF to HRIS and equity management platforms.

Where to send and how signed Employee Option Gifts are routed

Clear routing ensures the signed record reaches payroll, equity administration, and legal teams.

  • To HR system: Upload for payroll alignment and benefits tracking.
  • To equity ledger: Record grant ID, vesting, and outstanding option counts.
  • To legal counsel: Store executed copies for corporate records and compliance review.
  • To recipient: Provide fully executed copy and signing certificate.

Digital signing and technical sharing options

Choose a platform that supports secure eSigning, audit trails, and the file formats you use.

  • Document formats: PDF, Word DOCX supported for upload and export.
  • Integrations: Connectors for HRIS and cloud storage like NetSuite and Google Workspace.
  • Authentication options: Email, SMS code, KBA, and SSO where available.

Platforms vary in features; confirm HIPAA/21 CFR needs and API access if you plan automated exports or high-volume processing.

Common mistakes to avoid when preparing an Employee Option Gift

  • Missing or inconsistent names between the gift document and payroll records, which can create tax and withholding issues on exercise.
  • Unclear vesting language or ambiguous acceleration triggers that lead to disputes about entitlement and timing.
  • Failing to record the grant in the equity ledger promptly, producing mismatches in outstanding option counts.
  • Not confirming authentication and retention for electronic signatures, risking challenges to enforceability under ESIGN/UETA.

Potential legal and tax risks from incorrect or incomplete documents

Tax reporting: IRC §6721 penalties may apply for incorrect information returns.
Invalid transfer: Missing approvals can render the transfer void under corporate bylaws.
Withholding exposure: Failure to collect TINs can trigger backup withholding.
Equity dilution errors: Incorrect option counts distort cap table and investor rights.
Enforceability challenge: Weak signature evidence risks contractual disputes.
Record retention: Noncompliance with retention rules can obstruct audits or litigation.
