What an Employee Option Plan Document Is and When It Applies

An Employee Option Plan Document is a formal written agreement that establishes the terms under which a company grants options to purchase equity to employees, contractors, or directors. It typically defines the total option pool, eligibility, grant mechanics, vesting schedule, exercise price, exercise period, tax treatment, transfer restrictions, and procedures for termination or change of control. The document can be a standalone plan or accompanied by individual grant notices and is used by HR and legal teams to document equity compensation consistently and to support tax and securities compliance.

Why a Clear Employee Option Plan Document Matters

A well-drafted Employee Option Plan Document reduces ambiguity about rights and obligations, helps ensure consistent administration, and supports compliance with tax and securities laws such as IRC rules and state securities registration exemptions.

Why a Clear Employee Option Plan Document Matters

Who Typically Prepares and Uses This Document

Employees and option holders receive grant notices and plan summaries; accurate execution ensures enforceability and correct tax treatment.

  • Startups and private companies managing early-stage equity pools for employees and advisors.
  • Public companies or later-stage firms adapting the plan for broader equity programs.
  • Legal and payroll providers preparing grant notices and tax reporting for recipients.

Who Can Sign and Authorize Grants

Board Chair / CEO

Company executives or board officers sign plan adoption documents and individual grant approvals after board resolution. Their signature confirms corporate authorization and is typically required for stock plan amendments and grant issuances.

Employee / Grantee

Each option recipient signs the individual grant notice and exercise forms to accept grant terms and to exercise options. Employee signatures bind the recipient to nontransferability and other plan conditions.

Core Components to Include in a Professional Employee Option Plan Document

A complete plan should describe scope and mechanics clearly so administrators and recipients understand duties, rights, and timelines for grants and exercises.

Option Pool

Eligibility

Which classes of service providers may receive grants: employees, consultants, advisors, and any special board-approved categories.

Vesting Schedule

Vesting start date, cliff provisions, graded or milestone vesting, and acceleration events on termination or change of control.

Exercise Terms

Exercise price determination, payment methods accepted, cashless exercise options, and procedures for submitting exercise notices.

Post-Termination Rights

How long vested options remain exercisable after termination, forfeiture conditions, and treatment on death or disability.

Administration

Administrator authority, amendment procedures, recordkeeping, and handling of corporate adjustments and transfer restrictions.
