At-Will Employment: The parties acknowledge that, unless otherwise agreed in a separate written agreement, employment with the Employer is at-will and may be terminated by either party at any time, with or without cause or notice.

Equal Opportunity: Employer is an equal opportunity employer. Applicant represents that the information provided is true and that no information has been omitted which would materially affect the decision to employ.

Employee Product Agreement — Terms

Recitals: Employer is engaged in the business of developing, manufacturing and selling products and services. Employee is or will be employed in a capacity in which Employee may conceive, design, develop, or reduce to practice products, improvements, processes, software, designs, documentation, and other works (collectively, "Products"). This Agreement sets forth the rights and obligations with respect to such Products.

Definitions: For purposes of this Agreement, "Invention" means any discovery, improvement, concept, design, prototype, process, formula, algorithm, mask work, semiconductor layout, software (including source and object code), database, trade secret, or other intangible creation whether or not patentable, conceived, reduced to practice, or developed by Employee, either alone or jointly, during the period of employment and related to the Employer's business or using the Employer's resources.

Assignment of Inventions: Employee hereby assigns and agrees to assign to Employer all right, title, and interest in and to all Inventions, and any and all intellectual property rights therein, that (a) are conceived or reduced to practice by Employee during the period of employment, or (b) relate to Employer's actual or demonstrably anticipated business, research, or development, or (c) result from work performed for Employer. Employee agrees to execute documents and take actions reasonably requested by Employer to effectuate this assignment.

Disclosure and Cooperation: Employee shall promptly disclose to Employer any Invention and shall assist Employer, at Employer's expense, in obtaining and enforcing rights in such Invention, including executing patent applications, assignments, or other documents.

Works for Hire and License Back: To the extent any Product or work does not qualify as a work made for hire under applicable law, Employee assigns all rights to Employer. If Employer elects, in writing, to grant Employee a limited license to use certain non-confidential aspects of a Product, such license will be nonexclusive, nontransferable, and subject to written terms executed by both parties.

Compensation for Assigned Rights: Except as may be set forth in a separate written agreement, Employee acknowledges that compensation for employment constitutes full consideration for the obligations under this Agreement. Any specific monetary compensation, bonuses, or royalty terms for particular Products shall be documented in writing and signed by Employer's authorized representative.

Confidentiality: Employee will maintain in confidence all confidential, proprietary, or trade secret information of Employer and will not disclose such information except as authorized by Employer or required by law. Employee's obligation of confidentiality survives termination of employment.

Use of Employer Resources: Inventions developed using Employer time, material, facilities, data, or information are presumed to have been created in the scope of employment and are assigned to Employer. Employee will maintain records of development activities as reasonably requested by Employer.

Exceptions: Employee may identify written exceptions to assignment by listing them in the Pre-existing Inventions section above. Employer may reasonably review and accept or dispute claimed exceptions; absent written acceptance by Employer, claimed exceptions are not effective.

Remedies and Injunctive Relief: Employee acknowledges that breach of this Agreement will cause irreparable harm to Employer for which monetary damages may be inadequate. Employer is therefore entitled to seek equitable relief including injunction and specific performance in addition to any other remedies available at law or equity.

Governing Law; Severability: This Agreement shall be governed by the substantive laws of the state identified in the Notices section below without regard to conflict-of-law principles. If any provision is held invalid, the remaining provisions shall remain in full effect.

What the Employee Product Agreement Is and when it applies

An Employee Product Agreement is a written contract between an employer and an employee that defines ownership, rights, and obligations related to products, inventions, designs, or deliverables created by the employee during employment. The agreement typically addresses intellectual property assignment, license terms, confidentiality, deliverable specifications, compensation or bonus structure tied to product milestones, and post-termination use restrictions. It clarifies whether the employer owns product improvements and sets procedures for disclosure, approval, and documentation. Use the agreement when an employee will develop or materially enhance company products or technology.

Why an Employee Product Agreement matters for legal clarity

A clear Employee Product Agreement reduces disputes over ownership, preserves company IP rights, and documents expectations for both parties in writing.

Why an Employee Product Agreement matters for legal clarity

Who typically completes an Employee Product Agreement

Use counsel to adapt the agreement to specific roles, remote work situations, and any state-specific statutory nuances before execution.

  • Startups and technology teams who need clear IP assignment and invention disclosure processes.
  • In-house legal and HR for companies standardizing onboarding and protecting trade secrets.
  • Contractors or consultants integrated into product teams where deliverables and ownership must be clarified.

Key signing roles for this agreement

Employee

Employee (Inventor/Developer) — the individual who creates, designs, or contributes to the product and must acknowledge assignment of specified rights, disclose inventions promptly, and follow confidentiality obligations during and after employment.

Employer

Employer (Company Representative) — an authorized officer or HR designee who accepts assignment language on behalf of the company, confirms consideration where required, and ensures the agreement references applicable company IP policies and compensation terms.

Core sections to include in a professional Employee Product Agreement

A robust agreement organizes obligations and expectations into distinct sections so both parties understand rights, procedures, and remedies.

Definitions

Define 'product', 'work for hire', 'invention', 'confidential information', 'effective date', and scope so terms are unambiguous and reduce later disputes.

IP Assignment

Specify whether employee assigns all rights in products created during employment, the scope of assignment, and exceptions for prior inventions with a disclosure schedule.

Compensation and Consideration

Document any additional payments, stock awards, or bonuses tied to product milestones or successful commercialization to satisfy contract and consideration rules.

Confidentiality

Include non-disclosure obligations, permitted disclosures, duration of secrecy obligations, and procedures for returning materials on termination.

Disclosure & Cooperation

Require timely disclosure of inventions and cooperation in patent applications or transfers, including after termination, and specify expense reimbursement if applicable.

Governing Law & Remedies

Identify governing state law, dispute resolution method (arbitration or courts), injunctive relief rights, and remedies for breach.

Step-by-step: How to complete and execute the Employee Product Agreement

Follow these steps to prepare and execute the agreement so it reflects intent and preserves rights.

  • 01
Prepare draft: Populate company and employee details, scope, and compensation terms.
  • 02
Review exclusions: Attach prior invention schedule and ensure clarity on exceptions.
  • 03
Legal review: Have counsel confirm assignment language and governing law selection.
  • 04
Execute: Obtain signatures and any required witness or notary acknowledgements.

How execution and routing typically work for this agreement

A standard routing flow reduces delays and creates an audit trail for enforceability.

  • Drafting: HR or legal prepares the tailored agreement template.
  • Internal approval: Manager or budget owner confirms compensation or milestone terms.
  • Signing: Employee and authorized company signer execute the agreement.
  • Recordkeeping: Final signed copy stored in HR and legal records with access controls.

Configuring a digital workflow for Employee Product Agreements

Recommended settings for a straightforward, auditable eSigning workflow.

Field Configuration
Signature Order Sequential signing: employee first, then company rep
Authentication Email plus optional SMS code for signer identity
Reminder Schedule Automatic reminders at 3 and 7 days after send
Retention Store signed PDF with audit trail in secure repository

Technical considerations for eSigning and storage

Ensure the chosen system can produce a tamper-evident signed PDF and retain execution metadata required for enforceability and audits.

  • Document formats: PDF and DOCX supported
  • Integrations: Connectors for HRIS and cloud storage
  • Security: TLS in transit, AES-256 at rest

Timing and deadlines to consider when issuing these agreements

Keep track of key dates to ensure rights attach and consideration is documented properly.

Effective date entry:

Set as MM/DD/YYYY on signature to mark obligations start

Invention disclosure window:

Require employee to disclose related inventions promptly; define a 30–90 day window

Patent cooperation period:

Specify how long employee must cooperate post-termination, commonly 1–3 years

Compensation milestone dates:

List dates for bonus or royalty payments connected to product performance

Record retention:

Keep signed agreement for the statutory retention period relevant to record type

Key processing milestones from draft to enforced agreement

A typical sequence helps track approvals and ensures obligations begin on schedule.

01

Draft prepared

Company prepares tailored agreement and prior invention schedule

02

Internal approvals

Legal and HR approve terms and compensation

03

Signing

Employee and company sign; record timestamp and audit data

04

File and retain

Store final executed copy in secure, access-controlled records

Common pitfalls to avoid when preparing the Employee Product Agreement

  • Overbroad assignment language that captures unrelated personal projects and triggers litigation or pushback from employees.
  • Failing to list prior inventions or attachments, which can create ambiguity and later invalidation of assigned rights.
  • Neglecting to document consideration or compensation tied to assignment, risking enforceability claims under state contract law.
  • Relying on unsigned or poorly authenticated electronic acknowledgements without a clear audit trail, jeopardizing evidence of intent.

Risks and legal consequences of errors in the agreement

Lost IP rights: Employer may lose enforceable assignment
Contract disputes: Litigation costs and injunction risk
Regulatory exposure: HIPAA breaches if patient data mishandled
Tax consequences: Improper compensation reporting or withholding
Workforce disruption: Employee retention problems from unclear terms
Evidence gaps: Missing audit trail reduces proof of consent

Real-world examples of product agreement use and outcomes

Two customer scenarios illustrate practical use and measurable benefits.

Optica Ventures

Optica used a standardized agreement to clarify IP ownership across its developers

  • This reduced negotiation time during hiring
  • The result was faster onboarding and clearer invention disclosure practices that preserved IP while improving deployment speed.

Martin Properties

A small real estate firm formalized product deliverables for a listing portal

  • The agreement tied milestone payments to deliverables
  • That clarity reduced disputes and allowed the company to rely on documented assignments when integrating vendor-created features.

Best practices to ensure enforceability and reduce disputes

Apply these practical measures when drafting, executing, and storing Employee Product Agreements.

Use narrow, specific assignment language
Draft assignment clauses limited to work performed for the company and clearly list excluded prior inventions to avoid overreach and potential invalidation.
Document consideration and approvals
Record any bonus, equity grant, or payment tied to product work in the agreement or a referenced addendum to validate consideration.
Preserve an audit trail for eSignatures
Capture timestamp, IP, authentication method, and signed PDF so the record satisfies ESIGN/UETA validity tests.
Keep coordinated records
Store signed agreements alongside invention disclosures, source control commits, and development tickets to support chain-of-authorship in disputes.
