What an Employee Product Specialist Agreement Covers

An Employee Product Specialist Agreement is a written employment contract that defines the relationship between an employer and a specialist responsible for product demonstration, customer-facing support, and product training. It sets out duties, compensation, performance metrics, confidentiality and intellectual property assignments, reporting lines, work location, and termination terms. The agreement clarifies expectations around paid time, commission or bonus structures, expense reimbursement, and compliance with company policies. Where applicable it incorporates non-solicit or non-compete limitations and any required state- or industry-specific addenda related to regulated information or patient/customer data.

Why use a written Employee Product Specialist Agreement

A clear agreement reduces ambiguity about duties, pay, intellectual property, and confidentiality; it helps enforce performance expectations and protects proprietary product information while documenting consent to policies and post-employment restrictions.

Why use a written Employee Product Specialist Agreement

Who typically prepares and signs this agreement

Employers, HR teams, hiring managers, and in some cases outside counsel prepare the agreement; the signers normally include the new hire and an authorized company representative.

  • HR managers and talent acquisition teams responsible for onboarding and compliance.
  • Hiring managers or product leads who define role responsibilities and performance metrics.
  • Authorized signatories from legal or operations for IP and confidentiality acknowledgement.

Use the agreement for full-time, part-time, and contractor roles when product knowledge, customer interaction, or IP assignment require explicit written terms.

Core clauses to include in a professional agreement

A robust Employee Product Specialist Agreement combines role detail with protective clauses so both parties understand duties, compensation, confidentiality, and dispute resolution. Below are six essential elements to include.

Role & Duties

Describe primary responsibilities, expected hours or shifts, travel and demo obligations, reporting structure, and measurable performance indicators such as sales targets or training throughput.

Compensation

Specify salary, hourly rate or commission calculation, bonus criteria, pay schedule, expense reimbursement policy, and any clawback or repayment triggers for advance payments.

Performance Metrics

Include objective evaluation periods, probation length, review cadence, KPIs used for bonuses, and consequences for failing to meet documented performance thresholds.

Confidentiality & IP

State confidentiality obligations, trade secret protections, invention assignment language, and how product materials and customer lists are handled during and after employment.

Termination & Notice

Define at-will or cause-based termination, notice requirements, severance if offered, post-termination obligations, and return-of-property procedures.

Compliance & Policies

Reference employee handbook, data privacy policies, required trainings, and any industry-specific compliance such as HIPAA addenda for protected health information.
